Cherat Cement, Shirazi Investments plan to acquire majority stake in Rafhan Maize

Cherat Cement Company Limited (CCCL) and Shirazi Investments (Private) Limited have expressed their intention to acquire up to 75.69% stake in Rafhan Maize Products Company Limited (RMPL), one of Pakistan's largest agro-based companies.
Topline Securities, appointed Manager to the Offer, disclosed the development in a notice to the Pakistan Stock Exchange (PSX) on Thursday.
'We, Topline Securities Limited, have been appointed as Manager to the Offer by Cherat Cement Company Limited and Shirazi Investments (Private) Limited, in accordance with the Securities Act 2015 and the Listed Companies (Substantial Acquisition of Voting Shares and Takeovers) Regulations, 2017.
'On behalf of the acquirers, we would like to submit the Public Announcement of Intention to acquire up to 75.69% shares of Rafhan Maize Products Company Limited, subject to receipt of regulatory and other approvals, if any,' read the notice.
The development comes days after it was learnt that Ingredion Incorporated, a US-based food and beverage ingredient provider, is evaluating offers to sell its stake in RMPL.
Giving a brief description of the intended acquisition, the notice stated that under the Share Purchase Agreement (SPA), Cherat Cement and Shirazi Investments each plan to directly acquire up to 3,495,526 shares, which is up to 37.845% of Rafhan Maize's paid-up capital each.
Combined, they aim to acquire up to 6,991,052 shares or 75.69% of the company.
However, the number of shares they might offer to buy from the public is 'not determinable at this stage' and will be determined after the SPA is signed.
Cherat Cement Company Limited is publicly listed on the Pakistan Stock Exchange and is engaged in cement manufacturing.
'With a state-of-the-art production infrastructure and an installed capacity of 4.5 million tons per annum, it primarily serves the northern region of Pakistan. CCCL also plays an active role in regional trade, exporting cement to Afghanistan,' read the notice.
Meanwhile, Shirazi Investments (Private) Limited operates as the investment arm of Atlas Group, a diversified conglomerate with investments in engineering, power, finance, and trading businesses, renowned for its strategic investments and strong governance.

The USPCAS-W also awarded 250 scholarships, including 87 for women, for master's and doctoral degrees. Urbom praised USPCAS-W as a model of sustainable US-Pakistan cooperation, highlighting initiatives like training municipal staff in Jacobabad on solid waste segregation, recycling, and composting. The center equips future generations to tackle water and environmental challenges by transferring skills and connecting Pakistani academics, government officials, and community leaders with US-supported experts. Urbom met with executives from Al Fateh Oil Industries, which imports American soybeans to produce animal feed and cooking oil. Poultry feed manufacturers at the meeting shared their preference for American soybeans, citing their higher nutritional quality. They explained that this quality feed reduces poultry production costs, making chicken and eggs more affordable in Pakistan while improving their nutritional value for consumers. Consul General Urbom attended the Sports Day celebration of the English Access Scholarship Programme at Peoples School Jamshoro. The US government's Access Program helps Pakistani youth strengthen their English proficiency and leadership skills through cultural exchange and community activities.

Moody's said on Wednesday it had raised Pakistan's credit rating by one notch to 'Caa1' from 'Caa2' due to an improving external financial position and it assigned the country a "stable" outlook. The announcement came within hours of Pakistan's Finance Minister Mohammed Aurangzeb saying there was more room for the central bank to cut the country's key policy rate from 11% on the back of positive economic indicators. "The credit rating's improvement is a sign that economic policies are heading toward the right direction," Prime Minister Shehbaz Sharif said in a statement. It lifted most of them to their highest since early 2022 when fears of a full-blown debt crisis sent them plunging to as little as 30 cents. Moody's decision to raise the rating by one notch after Fitch and S&P did the same will help Pakistan's capability to raise external debt. Pakistan says its economy is on a recovery path after a $7 billion IMF bailout helped to stabilise it. "We changed the outlook for the Government of Pakistan to stable from positive," Moody's said in a statement. "The upgrade to Caa1 reflects Pakistan's improving external position, supported by its progress in reform implementation under the IMF Extended Fund Facility (EFF) program," it said. Pakistan's debt affordability has improved, but remains one of the weakest among rated sovereigns, Moody's said, adding that the Caa1 rating also reflected the country's weak governance and high degree of political uncertainty. Aurangzeb said it was his personal view that there was more room for a rate cut towards the end of the year, adding that it was for the central bank to make the final call on the issue. The next policy rate announcement is due on September 15. The central bank left its key interest rate unchanged at 11% on July 30, going against analyst expectations. In a Reuters poll they had forecast a reduction of 50 to 100 basis points. The bank said the inflation outlook had deteriorated due to rising energy prices. Inflation accelerated to 4.1% year-on-year in July.

JAKARTA: Malaysian palm oil futures closed higher on Wednesday, extending gains to a fourth straight session, on the back of strength from the Dalian market, fueled by China's plan to impose anti-dumping duty on canola imports from Canada. The benchmark palm oil contract for October delivery on the Bursa Malaysia Derivatives Exchange gained 33 ringgit, or 0.75%, to 4,435 ringgit ($1,054.70) a metric ton at the close. 'The Chinese markets have been on fire after China announced a preliminary anti-dumping duty of 75.8% is imposed on canola imports from Canada. The Rapeseed oil futures skyrocketed today, palm oil and soyoil futures at Dalian have just followed it,' said Anilkumar Bagani, head of research at Mumbai-based vegetable oil broker Sunvin Group. Palm oil tracks price movements of rival edible oils, as it competes for a share of the global vegetable oils market. India's soyoil imports are poised to surge 60% year-on-year to a record high in 2024/25, as refiners boost purchases due to cheaper prices than rival palm oil, shipments of which are set to hit a five-year low, six dealers told Reuters. Its palm oil imports in the year are likely to fall 13.5% from a year ago to 7.8 million tons, the lowest since 2019/20, dealers said. The ringgit, the palm's currency of trade, strengthened 0.54% against the dollar, making the commodity more expensive for buyers holding foreign currencies.
