A $3.8 Billion Deal Is Making These Ultra-High-Yielding Dividend Stocks Even Safer
The deal will lower its earnings volatility and leverage ratio.

Dividend sustainability has been an issue for master limited partnership (MLP) Plains All American Pipeline (NASDAQ: PAA) and its general partner (GP) Plains GP Holdings (NASDAQ: PAGP) over the years. The MLP has cut its distribution several times over the years due to earnings volatility and balance sheet issues, causing its GP to cut its dividend.
However, Plains All American Pipeline has taken several steps to reduce its earnings volatility and leverage ratio. Those actions have paid big dividends for investors, as the MLP has steadily rebuilt its payment level. That payout -- which yields over 8% at PAA and is more than 7.5% at PAGP -- is now growing even stronger after the oil pipeline company agreed to sell its Canadian natural gas liquids (NGLs) business for nearly $3.8 billion. It makes these high-yielding dividend stocks a lot safer for income-seeking investors.
Plains All American has agreed to sell nearly all of its NGL business to Keyera for about 5.15 billion Canadian dollars (US$3.8 billion). It will retain most of its U.S. NGL business and all its crude oil assets in Canada.
The deal has several benefits, including:
Sharpen its focus: Plains will become even more of a pure-play crude oil midstream company.
Reduce earnings volatility: The Canadian NGL business had direct exposure to commodity price volatility, which caused fluctuations in Plains' earnings.
A strong exit point: The MLP is selling the business at 13 times free cash flow, which is a strong valuation.
Enhanced free cash flow: Plains will produce more excess free cash flow in the future due to lower capital investments and taxes related to the Canadian NGL business.
Increased financial flexibility: The MLP expects to net about $3 billion in proceeds from the sale after taxes, transaction expenses, and a potential one-time special distribution to investors to offset their tax liability related to the sale.
Following the transaction, Plains All American Pipeline will produce more durable cash flows to support its distribution payments. It expects to get 85% of its earnings from predictable fee-for-service agreements, up from 80% before the deal.
It will also have an even stronger financial profile. The MLP expects its leverage ratio to be at or below the low end of its 3.25-3.75 times target range (it was 3.3x at the end of the first quarter). Plains can use its enhanced financial flexibility to make bolt-on acquisitions, repurchase preferred units, and buy back common units.
The sale of Plains' Canadian NGL business continues its transformational strategy to enhance its free cash flow and reduce its leverage ratio so that it can pay a sustainable, growing distribution. This strategy has delivered results. The company has generated a cumulative $8.3 billion of adjusted free cash flow since 2021, which has enabled it to repay debt and grow its distribution. Its leverage ratio has declined by 31%, while the MLP has grown its payout at a 21% compound annual rate.
Plains had planned to continue increasing its payout at a healthy rate until it reached its target payout level (about 1.6 times coverage). With its coverage level expected to be around 1.75x this year, Plains estimated that it could increase its payout at around a 10% annual rate in 2026 and beyond before eventually hitting its targeted payout level. While the sale of its Canadian assets will initially cause it to generate less free cash flow this year, it can offset the lost income by wisely allocating the proceeds from the sale to increase its free cash flow per unit.
The MLP has a strong record of making accretive investments. For example, earlier this year, Plains bought Ironwood Midstream Energy, Medallion Midstream's Delaware Basin crude oil gathering business, and the remaining 50% interest in the Midway Pipeline for a combined $670 million. In addition, the MLP spent $330 million to repurchase 18% of its Series A Preferred Units. These transactions boosted its free cash flow, enabling Plains to hike its distribution payment by 20%.
Plains All American Pipeline has taken significant strides to enhance the durability of its cash flows while reducing its leverage ratio. As a result, its high-yielding payout is on a much more sustainable level, which has also enhanced the safety of Plains GP Holdings' dividend. Because of that, they're attractive options for those seeking a sustainable and steadily rising income stream.
Plains All American is best for those desiring a higher yield and are comfortable dealing with the potential tax complications of the Schedule K-1 federal tax form the MLP sends its investors each year. Meanwhile, Plains GP Holdings is best for those seeking ease in filing their taxes with a Form 1099-DIV.

Tiger Woods to lead group that could reshape the PGA Tour's competitive model
ATLANTA (AP) — Tiger Woods is a major player in golf again, this time without clubs. He was appointed Wednesday to chair a new committee charged with taking a fresh look at the competitive model for how the PGA Tour runs its tournaments. Brian Rolapp, three weeks into his role as the tour's first CEO, announced the nine-member 'Future Competition Committee' and said it would have a clean sheet to consider changes that uphold traditions without being tied to them. 'This is about shaping the next era of the PGA Tour,' Woods said in a social media post. Rolapp didn't have details on several issues he faces as he takes over for Commissioner Jay Monahan, including the future of a sport that has been splintered by Saudi money that created the rival LIV Golf League and lured away a number of top players. The PGA Tour's negotiations with the Public Investment Fund have stalled, and Rolapp did not make that sound as if it were a top priority when asked about the fans' desire to see all the best players together more often. 'I'm going to focus on what I can control,' Rolapp said. "I would offer to you that the best collection of golfers in the world are on the PGA Tour. I think there's a bunch of metrics that demonstrate that, from rankings to viewership to whatever you want to pick. I'm going to lean into that and strengthen that. 'I will also say that to the extent we can do anything that's going to further strengthen the PGA Tour, we'll do that,' he said. 'And I'm interested in exploring whatever strengthens the PGA Tour.' Woods, who has played only 10 times on the PGA Tour since his February 2021 car crash and has been out all of this year with a ruptured Achilles tendon, already serves on the PGA Tour board without a term limit. Now he will lead five players from the board — Patrick Cantlay, Adam Scott, Camilo Villegas, Maverick McNealy and Keith Mitchell — along with three from the business side. That includes baseball executive Theo Epstein. Rolapp is not trying to reinvent a sport that held its first championship in 1860. He said among his early observations, after two decades at the NFL, was the strength and momentum of the PGA Tour. 'My key takeaway when you boil all this down is that the strength of the PGA Tour is strong, but there's much more we need to do, much more we need to change for the benefit of fans, players and our partners,' he said. He said the committee would be guided by parity (he conceded golf already has that), scarcity and simplicity. The tour released a 2026 schedule on Tuesday that adds another $20 million signature event, this one to Trump National Doral, as part of a 35-event schedule from January through August. Rolapp said the simplicity was mostly about connecting the regular season to the postseason. He referred to the committee's work as a 'holistic relook of how we compete on the tour' during the regular season, postseason and offseason. 'The goal is not incremental change,' he said. 'The goal is significant change.' He did not set a timetable for any of it. The Tour Championship ends this week at East Lake for the top 30 players. The tour has eliminated the built-in advantage for top seeds so that everyone starts from scratch. The committee is a smaller version of the PGA Tour Enterprises board and policy board. Joining Epstein from the business side are board chairman Joe Gorder and John Henry of Fenway Sports Group, who leads the Strategic Sports Group that invested $1.5 billion — with the potential to double that — into the tour in a minority investment announced 18 months ago. Rolapp said he had a lot of ideas how to the use the money but none he was ready to share. But he said the involvement of SSG was a big reason he took the job. "Not only does it provide necessary capital as we work through this competitive model and improved commercial model, I also think it also brings learnings from other sports, which I think is beneficial ... to grow the PGA Tour. 'Pharma Bro' Martin Shkreli Bets Against Soaring Newegg, But Stock Keeps Climbing
Newegg Commerce Inc. (NASDAQ:NEGG) shares skyrocketed over 22% in Wednesday's session, extending a volatile run that has seen the stock swing dramatically this year. The surge came as the company expanded its stock sale program, addressed issues tied to a shareholder loan foreclosure, and added its chief executive to the board while insider share sales continued. The company said its board's Pricing Committee approved the sale of an additional 500,000 common shares on Aug. 17 under a $65 million Sales Agreement with Needham & Company. Newegg had already raised $29.3 million in gross proceeds by selling one million shares in mid-July. The company may adjust the number of shares sold depending on available authorizations. Fred Chang, Newegg's second-largest shareholder, defaulted on loans backed by nearly two million pledged shares. East West Bank foreclosed on about 660,000 of those shares in June and is pursuing another 100,000 to cover roughly $6.5 million owed by Chang's affiliate, Tekhill USA Chang's resignation from the board in July, shareholders elected CEO Anthony Chow on Aug. 9 to fill the vacancy. Chow has led the company since 2020 and holds an Executive MBA from UCLA's Anderson School of Management. Separately, insider filings show Yong Feng Hou, also listed as Montaque Hou, disclosed the planned sale of 150 shares valued at about $13,200 on Aug. 20. He has regularly sold small blocks of stock this month, with Fidelity Brokerage Services acting as broker. The stock has also attracted short sellers. Former pharmaceutical executive Martin Shkreli recently said he was betting against Newegg after its rally of more than 1,300% this year, calling it 'close to worthless.' The stock is trading roughly 173% above its 50-day simple moving average and more than 580% above its 200-day.
