Macquarie's famed pay packages under attack from disgruntled shareholders at AGM

Macquarie Group has been stung by a shareholder backlash against its executive pay plans amid disquiet over a string of regulatory prosecutions.
Investors lodged votes against Macquarie's remuneration plans in excess of 25%, in a major rebuke of the company's famed pay packages, triggering a 'first strike' at its annual general meeting in Sydney on Thursday.
A remuneration report requires a 25% opposing vote to trigger a strike, as opposed to the usual majority required for ordinary resolutions. Under rules designed to hold directors accountable for executive pay, shareholders will get a chance to spill the board next year if they deliver another strike.
The Macquarie chair, Glenn Stevens, said at the AGM that a number of shareholders had expressed a view that the board had not adequately reflected 'risk shortcomings'.
'The board hears your message and will reflect carefully on addressing those concerns,' Stevens said.

In May, the chair of the Australian Securities and Investments Commission, Joe Longo, issued a stinging critique of Macquarie after announcing the fourth regulatory action against the company in just over 12 months.
Longo said at the time Asic had 'ongoing and deep concerns' with Macquarie over its 'weak remediation of longstanding issues'.
Asic alleged in May that Macquarie's securities business engaged in misleading conduct by misreporting millions of short sales to the market operator for more than 14 years.
Short sales refer to investors taking a position on an asset they expect to fall in value.
Macquarie said it had remedied those issues, implemented additional controls and was reviewing the regulator's claim. The company could not comment further on Thursday given it is a live legal matter.
Macquarie is well-known for its huge pay packets, which are tightly linked to company profits.
The Macquarie chief executive, Shemara Wikramanayake, earned $24m during the last 12-month reporting period, mostly consisting of bonuses, making her one of Australia's highest paid executives.
While shareholders usually lodge a protest vote against executive pay when a company is performing poorly, there are times investors use it to tell the board they are unhappy about other issues.
Woolworths received a remuneration strike in 2023 after shareholders over concerns with the supermarket's response to the death of two workers, one of whom was killed after being hit by pallets at a distribution centre.

Macquarie also faced a climate-focused shareholder resolution calling on the company to outline how its financing for fossil fuel projects aligned with its net zero commitments.
The resolution, which did not receive majority support, asked the bank to disclose its exposure to fossil fuel companies and its plans for financing them.
Activists are particularly unhappy with Macquarie's support for the planned large gas fracking project in the Northern Territory's Beetaloo basin.
'The reality is that Macquarie's fossil fuel financing activity is categorically not aligned with its climate commitments,' Kyle Robertson, an analyst at the climate activist group Market Forces, told the AGM.
While many financiers have climate policies, they often allow for the development of new fossil fuel reserves, rubbing against analysis showing emissions from existing fossil fuel infrastructure are more than enough to push the world beyond its climate goals.
Stevens said the company's position was in line with the policies of the federal government, which allows for the expansion of gas production during the transition to renewable energy.
'That is part of the transition; Macquarie is involved in that,' Stevens said.

SYDNEY/TOKYO, Aug 5 (Reuters) - Japan clinched a landmark A$10 billion ($6.5 billion) deal on Tuesday to build warships for Australia, marking Tokyo's most consequential defence sale since ending a military export ban in 2014 as it steps away from postwar pacifism to counter China. Under the agreement, Mitsubishi Heavy Industries (7011.T), opens new tab will supply the Royal Australian Navy with three, upgraded Mogami-class multi-role frigates built in Japan from 2029. Eight more frigates will be built in Australia. Designed to hunt submarines, strike surface ships and provide air defence, the highly automated warships can be operated by just 90 sailors, half the crew of Australia's aging Anzac-class frigates. Australia plans to deploy the ships to defend critical maritime trade routes and its northern approaches in the Indian and Pacific Oceans, where China's military footprint is expanding. "It's going to be really important in terms of giving our navy the capability to project, and impactful projection is at the heart of the strategic challenge," Australian Deputy Prime Minister Richard Marles said at a briefing. The Mogami, emblematic of a global shift toward versatile modular warships, offers more firepower and a 4,000 nautical miles more range than the current fleet. "It takes our general purpose frigates from being able to fire 32 air defence missiles to 128," including "the most advanced", defence industry minister Pat Conroy said at the briefing with Marles. The deal also anchors Japan's push to forge security ties beyond its alliance with the U.S. to counter China. The defence industry partnership "makes it harder for China to play Japan and Australia off against each other and sends a concerted signal to Beijing that both countries are willing to make their quasi-alliance a functioning reality' said Euan Graham, a senior analyst for defence strategy at the Australian Strategic Policy Institute. The successful frigate bid eases the sting of 2016, when Australia rejected a Japanese submarine program, also led by MHI, in favour of a French design. Canberra scrapped that project in 2023, opting instead to build nuclear-powered submarines with the United States and Britain under the AUKUS pact. "We took that lesson to heart. The Australian government recognized not only the technical strengths of our ships but also the unified commitment of both government and industry," Japan's Minister of Defence Gen Nakatani said at a briefing in Tokyo. The initial order for three Japanese-built frigates will be Australia's largest naval purchase since the AUKUS agreement, while the remaining eight ships are expected to be constructed by Austal ( opens new tab in Western Australia. "We are currently focusing on establishing maintenance operations in Australia for the ships built here and are beginning communication with local companies," Hiroshi Nishio MHI's chief financial officer, said after the company released its latest quarterly earnings. Qantas has effectively lowered the value of its frequent flyer points after enacting significant changes to its loyalty program. The overhaul of the frequent flyer program came into effect on Tuesday, about seven months after the carrier flagged the changes in an announcement in late January. At the time, Qantas announced it would broadly increase the amount of frequent flyer points needed to redeem Classic Reward flights for the first time since 2019 and the second time since 2004. The changes mean a Classic Rewards economy seat on a Qantas service between Sydney and Melbourne has increased from 8,000 points plus $55 in fees to 9,200 points plus $55 in fees from August. A Classic Rewards business class seat on the same service has increased from 18,400 points plus $55 in fees to 19,300 points and $76 in fees. On a Qantas-operated Sydney-London flight, the existing Classic Rewards one-way economy seat cost of 55,200 points and $263 in fees has risen to 63,500 points and $263 in fees. Qantas softened the blow of its frequent flyer changes with an announcement on Tuesday that it was releasing 400,000 new Classic Reward seats across its international and domestic network. The majority of these seats will be on dedicated 'points planes', where every seat across all cabins can be secured with points, the airline said in a press release. Qantas has also lowered the amount of points needed to book domestic flights in Australia and New Zealand on its budget subsidiary Jetstar, which have been reduced from 6,400 points to 5,700, plus booking fees. Andrew Glance, the chief executive of Qantas's loyalty program, said in January the adjustments would ensure the airline could continue to grow the number of seats available to be booked with frequent flyer points. Adele Eliseo, the publisher of The Champagne Mile frequent-flyer website, said Qantas needed to honour that commitment. 'The pressure's on Qantas to really keep investing in opening their seat inventory so people can use their points – so we'll cross our fingers,' she said. Overall, Eliseo said Qantas' devaluation of its frequent flyer points was 'a pretty safe move' by the airline. Virgin Australia devalued its points by making rewards seats on its flights more expensive earlier this year and there have been similar moves by international carriers, Eliseo said. 'The real test will be: can Qantas continue to deliver rewards seats, especially in business and first class,' she said. 'People will accept the price rises if the seats are there.' 'They did a pretty good job of giving notice … even though it doesn't make it any easier when you're looking at a rewards flight and there are an additional 30,000 points added to it,' she said. Eliseo advised people to plan their trips as early as possible to have a better chance of securing rewards seats, or booking at the last minute if they can, as she said seats available on points could open up. 'Just checking as you go, and making sure you're flexible is the way to go,' she said.

"The broad-based participation of industries from both Japan and Australia in general-purpose frigates is expected to strengthen human resource development in science and technology, as well as the foundations of the defence industry, in both countries," MHI, which also designed the submarine rejected by Australia in 2016, said in a press release. Shares in MHI rose more than 3 per cent and Austal shares rose more than 5 per cent. Pricing, sustainment, and the transfer of production to Australia remain key issues for further negotiation, officials from both countries said. They said they aimed to conclude a contract early in 2026. MHI's Mogami frigate was selected over German company Thyssen­Krupp Marine Systems' MEKO A-200 in a meeting of the Australian government's national security committee. The upgraded Mogami-class frigate can launch long-range missiles, and has a range of up to 10,000 nautical miles, compared to Australia's current Anzac Class frigates, which can sail around 6,000 nautical miles, Mr Marles said.
