The National Company Law Tribunal (NCLT) has approved the merger of Adani Cementation with
Ambuja Cements
, which will help to consolidate Adani Group's cement
business
under one unit and bring synergistic benefits.
Earlier in June 2024, the billionaire Gautam Adani-led group announced a merger and ownership restructuring of its cement assets, which are housed under Ambuja Cements and Adani Cementation, part of Adani Enterprises.

"The scheme of amalgamation annexed as Annexure I to the company petition is hereby sanctioned, and it is declared that the same shall be binding on the petitioner companies and their shareholders and creditors and all concerned under the scheme," said the two-member NCLT bench.
The effective date of the amalgamation will be April 1, 2024, said the 70-page-long NCLT order.

The intergroup merger is based on share swapping, and Adani Enterprises will get 8.7 million
shares
of Ambuja Cements.
The NCLT has directed
Ambuja Cements
, a listed entity, to "comply with all applicable regulations, circulars and directions" issued by market regulator Sebi, and bourses BSE, NSE and Luxembourg Stock Exchange.
Ambuja Cements Global Depository Receipts (GDRs) are listed on the Luxembourg Stock Exchange.
"All the property rights and powers of the undertaking of the transferor company (Adani Cementation) and all the other property rights and powers of the transferor company be transferred without any further act or deed to the transferee company (Ambuja Cements)," the NCLT order said.
Adani Group is the second-largest Cement manufacturer in the country with over 100 million tonnes per annum (MTPA) capacity.
While citing the rationale for the merger scheme, Adani Group entities said it will lead to enhanced value addition for both companies, and consequently, the value of the shareholders will increase.
It will help Ambuja Cement to absorb the cement business of Adani Cementation, which will help it to enhance its manufacturing capacity more efficiently, seamlessly and economically.
Besides, it will also help in improved utilisation of the combined resources of both companies, lowering the overheads and reducing compliance requirements.
"The amalgamation will help the transferee company to quickly start the construction activity at various sites of the transferor company and that of the wholly-owned subsidiary of the transferor company," both companies said.
Adani Cementation has lease rights of limestone mines, with resources of about 275 million tonnes at Lakhpat, Gujarat.
It has also proposed to set up a manufacturing unit at Raigad, Maharashtra.
Ambuja Cements, which has crossed 100 MTPA capacity in FY25 in a record time, mainly through acquisitions, now aims to reach 118 MTPA by FY 2026 and 140 MTPA by FY 2028, primarily through brownfield expansion projects.
Adani Group is a new entrant in the cement sector. It entered the Cement sector in September 2022, after acquiring controlling stakes in Ambuja Cement from Swiss firm Holcim for USD 6.4 billion (about Rs 51,000 crore).
Later, Ambuja Cements owns a 51 per cent stake in
ACC Ltd
, pursued inorganic growth, acquiring small companies as Hyderabad-based Penna Cement and Saurastra-based
Sanghi Industries
. Earlier this year, it also acquired Orient Cement from the CK Birla group.
The Indian cement market is led by Aditya Birla Group firm
UltraTech Cement Ltd
, which has a consolidated capacity of 192.26 MTPA. PTI

Odisha govt to set up 38 model mandis at Rs 300 cr in two years

Agency: Bhubaneswar, Aug 13 (PTI) The Odisha government on Wednesday decided to set up 38 model mandis (agri marketing yards) in 30 districts of the state in two years with a cost of Rs 300 crore, an official said. At a Cabinet meeting chaired by Chief Minister Mohan Charan Majhi has approved a proposal in this regard along with six others. These model mandis have been designed to provide seamless and efficient platforms for farmers, traders and other stakeholders by integrating all essential marketing activities under one roof, with upgraded infrastructure and digital systems, Chief Secretary Manoj Ahuja said. In the first phase, 14 large mandis, 17 medium and seven small ones will be set up in the financial years 2025-26 and 2026-27 with an approximate cost of Rs 300 crore, he said. Out of that, Rs 150 crore will be mobilised from the resources of Regulated Market Committees (RMCs) and the remaining amount will be provisioned from the state plan scheme, Ahuja said. The Cooperation Department has already made provision of Rs 50 crore under this scheme in the current financial year. In the next phase, 62 mandis will be developed as model mandis and the process of identification has already started, he added. The model mandis will have modern storage space, raised concrete drying platforms, cover sheds, quality testing kiosks, cooling chambers, farmers' rest-sheds, clean toilets, separate facilities for women farmers, eateries/canteens, vending zones, bank branches & ATMs, parking, electronic weigh bridges, retail outlets relevant to the farming community and waste disposal facilities. The chief secretary also said that the Cabinet has approved a tender of Rs 382.40 crore for 24×7 water supply to all households of Sambalpur, Burla and Hirakud towns of western Odisha. The amount includes construction of the entire project and its operation & maintenance for five years. The construction work is scheduled to start from September and is targeted to be completed by August 2027, he said. The state government has approved another proposal for implementation of LED public street light project (retrofitting) in all 110 urban local bodies of Odisha with a cost of Rs 350 crore, Ahuja said. The government has decided to establish a world-class Maintenance, Repair, and Overhaul (MOR) facility for aircraft at Biju Patnaik International Airport here. The Cabinet has approved a special incentive package for the anchor MRO to facilitate the establishment of the facility, the chief secretary said. This will be the first major MRO facility in eastern India and a key milestone to strengthen civil aviation infrastructure in Odisha, he added. Further, the state government has decided to set up a separate Directorate of Museums for better management and coordination of the state museums. Besides, the Cabinet has approved promulgation of rules for recruitment of faculties in the government-run colleges of nursing & ANM training centres. US SEC seeks India's help to serve notices in $750-million Adani bond fraud case

CHENNAI: The United States Securities and Exchange Commission (SEC) has asked the Indian government to help deliver legal notices to two senior Adani Group executives in a $750 million bond fraud case. According to reports, in a status report dated August 11 to Magistrate Judge James R. Cho of the Eastern District of New York, the SEC said it had approached India's Ministry of Law & Justice under the Hague Service Convention, an international treaty for delivering legal documents across borders. The request is aimed at serving notices to Gautam Adani, founder of Adani Green Energy Ltd, and his nephew Sagar Adani, the company's executive director. The SEC's complaint, filed in November 2024, accuses the two of making false and misleading statements during a 2021 green bond issuance. According to the regulator, the executives concealed the fact that they had paid or promised hundreds of millions of dollars in bribes to secure state energy contracts in India, which were then used to support the bond offering. The case also includes allegations of securities fraud, wire fraud, violations of the US Foreign Corrupt Practices Act, and obstruction of justice.
