Spin Master Reports Q1 2025 Financial Results
TORONTO, April 30, 2025 /CNW/ - Spin Master Corp. ("Spin Master" or the "Company") (TSX: TOY) (www.spinmaster.com), a leading global children's entertainment company, today announced its financial results for the three months ended March 31, 2025. All financial information is presented in United States dollars ("$", "dollars" and "US$") and has been rounded to the nearest hundred thousand, except per share amounts and where otherwise indicated.

Consolidated Financial Highlights for Q1 2025 as compared to the same period in 2024
Q1 2025 Revenue was $359.3 million, an increase of 13.6%. Toy Revenue was $273.7 million compared to $226.4 million. Toy Gross Product Sales 1 were $313.7 million, an increase of $49.6 million or 18.8% from $264.1 million.
Q1 2025 Operating Loss was $22.1 million compared to $61.8 million. Operating Loss in the prior year included the fair value adjustment for inventories acquired, and transaction and integration costs related to the acquisition of Melissa & Doug.
Q1 2025 Adjusted EBITDA 1 was $21.6 million, compared to $18.6 million, an increase of $3.0 million. Adjusted EBITDA Margin 1 was 6.0% compared to 5.9%.
Q1 2025 Net Loss was $24.5 million or $(0.24) per share compared to $54.8 million or $(0.53) per share. Adjusted Net Loss 1 was $12.0 million or $(0.12) per share compared to $19.5 million or $(0.19) per share.
Q1 2025 Total Net Cost Synergies 2 of $6.5 million related to the acquisition of Melissa & Doug were realized, which represents an annualized run-rate of $21.6 million towards the target of $25 million to $30 million in Run-rate Net Cost Synergies 2 by the end of 2026.
Q1 2025 Cash provided by operating activities was $24.8 million compared to $24.3 million.
Q1 2025 Free Cash Flow 1 was $(10.8) million compared to $(0.6) million.
Q1 2025 results were not affected by the changes to global tariff policies.
Repurchased and cancelled 1,157,099 subordinate voting shares for $21.7 million (C$31.2 million) in 2025 through the Company's Normal Course Issuer Bid (the "NCIB") program. Subsequent to March 31, 2025, the Company repurchased and cancelled 363,200 subordinate voting shares for $5.8 million.
Subsequent to March 31, 2025, the Company declared a quarterly dividend of C$0.12 per outstanding subordinate voting share and multiple voting share, payable on July 11, 2025.
2025 Outlook
The Company has decided to withdraw its 2025 outlook previously provided on February 24, 2025 in connection with 2025 Gross Product Sales 1, 2025 Revenue and 2025 Adjusted EBITDA Margin 1, due to the current uncertainty arising from ongoing changes to global tariff policies, making it difficult to provide reliable projections.

Q1 2025 Operating Loss was $22.1 million, a change of $39.7 million from $61.8 million, primarily driven by the decrease in Operating Loss in the Toys segment of $40.2 million, partially offset by a decrease in Operating Income in the Entertainment & Digital Games segments. In addition, Toys Operating Loss in the prior year included $20.6 million of fair value adjustment for inventories acquired, and $6.2 million of transaction and integration costs related to the acquisition of Melissa & Doug.
Q1 2025 Adjusted Operating Loss 1 was $5.9 million, a change of $8.6 million from $14.5 million. The decrease in Adjusted Operating Loss 1 was mainly driven by a decrease in Toys Adjusted Operating Loss 1 of $16.2 million, partially offset by declines in Adjusted Operating Income 1 in Digital Games segment of $5.7 million and Entertainment segment of $3.0 million.
Q1 2025 Adjusted EBITDA 1 was $21.6 million compared to $18.6 million. The increase was primarily driven by higher Adjusted Gross Profit and lower administrative and distribution costs, partially offset by increased marketing, selling and product development costs. Adjusted EBITDA Margin 1 remained relatively flat at 6.0% compared to 5.9%. The change in Adjusted EBITDA Margin 1 was driven by higher revenue resulting in operating leverage, partially offset by higher marketing expenses and lower Adjusted Gross Margin 1.

Toys Segment Results
The following table provides a summary of the Toys segment operating results, for the three months ended March 31, 2025 and 2024:

2 The Company enters arrangements to provide sales allowances requested by customers relating to cooperative advertising, contractual and negotiated promotional discounts, volume rebates, markdowns, and costs incurred by customers to sell the Company's products.

Toy Revenue increased by $47.3 million to $273.7 million.
Toy Gross Product Sales 1 increased by $49.6 million to $313.7 million. Toy Gross Product Sales 1 increased primarily as a result of higher shipment volumes related to partner licensed brands.
Sales Allowances increased by $2.2 million to $40.4 million. As a percentage of Toy Gross Product Sales 1, Sales Allowances decreased to 12.9% from 14.5% driven by lower markdowns and promotional activity and a change in geographic market mix.
Toys Operating Loss was $50.6 million compared to $90.8 million. The decrease in Toys Operating Loss was driven by higher Gross Profit due to higher shipment volumes and lower distribution expenses, partially offset by higher selling and marketing expenses.
Toys Operating Margin was (18.5)% compared to (40.1)%.
Toys Adjusted EBITDA 1 was $(20.5) million compared to $(32.5) million.
Toys Adjusted EBITDA Margin 1 was (7.5)% compared to (14.4)%. The increase in Toys Adjusted EBITDA Margin 1 was driven by higher Toy Revenue resulting in operating leverage relative to administrative and distribution expenses, partially offset by higher selling and marketing expenses and lower Adjusted Gross Margin 1.
Entertainment Segment Results
The following table provides a summary of Entertainment segment operating results, for the three months ended March 31, 2025 and 2024:

Entertainment Revenue declined by $6.0 million to $37.8 million, primarily driven by lower distribution revenue.
Entertainment Operating Income declined by $2.7 million to $25.9 million, primarily due to lower distribution revenue, partially offset by lower amortization due to fewer content deliveries and lower marketing expenses.
Entertainment Operating Margin increased to 68.5% from 65.3%.
Entertainment Adjusted Operating Income 1 declined by $3.0 million to $26.1 million.
Entertainment Adjusted Operating Margin 1 increased to 69.0% from 66.4%, primarily due to lower amortization of production costs and marketing expenses, partially offset by lower distribution revenue.
Digital Games Segment Results
The following table provides a summary of Digital Games segment operating results, for the three months ended March 31, 2025 and 2024:

Digital Games Revenue increased by $1.8 million to $47.8 million driven by growth in subscriptions across Piknik and PAW Patrol Academy and higher in-game purchases in Toca Boca World.
Digital Games Operating Income declined by $5.0 million to $8.2 million.
Digital Games Operating Margin decreased from 28.7% to 17.2%.
Digital Games Adjusted Operating Income 1 declined by $5.7 million to $9.5 million.
Digital Games Adjusted Operating Margin 1 decreased from 33.0% to 19.9%.
The decline in Digital Games Operating Income, Operating Margin, Adjusted Operating Income 1, and Adjusted Operating Margin 1 was due to higher marketing expenses related to paid user acquisition costs across the Digital Games portfolio.
Liquidity
The Company has an unsecured revolving credit facility (the "Facility") with a borrowing capacity of $510.0 million which matures on September 28, 2026, and contains certain financial covenants.
The Company has a non-revolving credit facility (the "Acquisition Facility") for the acquisition of Melissa & Doug, with a borrowing capacity of $225.0 million which matures on September 30, 2025, and contains certain financial covenants.
During the three months ended March 31, 2025, the Company repaid $30.0 million of the Facility (2024 - $50.0 million). As at March 31, 2025, there was $135.0 million outstanding (December 31, 2024 - $165.0 million) under the Facility and $225.0 million outstanding (December 31, 2024 - $225.0 million) under the Acquisition Facility. For the three months ended March 31, 2025, the weighted average interest rate on both the Facility and the Acquisition Facility was 5.6% (December 31, 2024 - 6.6%).
As at March 31, 2025, the Company had available liquidity of $523.0 million, comprised of $152.7 million in cash and $370.3 million under the Company's credit facilities.
Cash Flows for the three months ended March 31, 2025 compared to the same period in 2024
Cash provided by operating activities was $24.8 million, compared to $24.3 million driven by change in movement in trade receivables, trade payables and accrued liabilities, offset by lower Net Loss, adjusted for non-cash items, lower income taxes paid and lower interest paid. Change in non-cash working capital decreased by $24.8 million as compared to a decrease of $70.1 million.
Cash flows used in financing activities were $70.3 million compared to $457.2 million, due to proceeds of $525.0 million to finance the Melissa & Doug acquisition in the prior year, $30.0 million repayment of the Facility compared to $50.0 million, repurchase of shares under the Company's NCIB for $21.4 million compared to $5.1 million and payment of dividends of $9.1 million compared to $4.6 million.
Free Cash Flow 1 in 2025 was $(10.8) million compared to $(0.6) million, primarily due to higher investment in entertainment content development and computer software, change in movement in trade receivables, trade payables and accrued liabilities, offset by lower Net Loss, adjusted for non-cash items, lower income taxes paid and lower interest paid.
Capitalization
The Company's Board of Directors declared a dividend of C$0.12 per outstanding subordinate voting share and multiple voting share, payable on July 11, 2025 to shareholders of record at the close of business on June 27, 2025. The dividend is designated to be an eligible dividend for purposes of section 89(1) of the Income Tax Act (Canada).
The weighted average basic and diluted shares outstanding as at March 31, 2025 were 102.3 million and 104.5 million, compared to 104.2 million and 106.3 million in the prior year, respectively.
During the three months ended March 31, 2025, the Company repurchased and cancelled, through the Company's NCIB program, 1,157,099 (2024 - 333,300 shares) subordinate voting shares for $21.7 million (2024 - $8.4 million). Subsequent to March 31, 2025, the Company repurchased and cancelled 363,200 subordinate voting shares for $5.8 million.

Non-GAAP Financial Measures
Toy Gross Product Sales represent Toy Revenue, excluding the impact of Sales Allowances. As Sales Allowances are generally not associated with individual products, the Company uses Toy Gross Product Sales to provide meaningful comparisons across product categories and geographical results to highlight trends in Spin Master's business. Proceeds from the raising to be used to accelerate exploration campaign with seven rigs to drive rapid value by increasing and upgrading the Mineral Resource while conducting mining studies FireFly has received firm commitments totalling approximately A$95m (before costs) via a charity flow-through offering, two-tranche institutional placement, and Canadian bought deal financing FireFly also intends to undertake a non-underwritten Share Purchase Plan to raise up to an additional A$5m (before costs) at the same offer price as the two-tranche institutional placement FireFly will receive an average price of A$1 per share in the raising, representing a discount of just 2.9% to the last sale price, after allowing for the Canadian flow-through premium PERTH, Australia, June 9, 2025 /CNW/ - FireFly Metals Ltd (ASX: FFM) (TSX: FFM) (FireFly or Company) is pleased to announce a highly successful equity raising which ensures the Company is set for substantial ongoing growth through its Green Bay Copper-Gold Project in Canada. FireFly has received firm commitments to raise up to ~A$95 million (before costs) by the issue of up to approximately 94.7 million fully paid ordinary shares in the Company (New Shares) under the Equity Raising (defined below). By utilising the Canadian flow-through provisions, the Company will receive an average price of A$1 per New Share, which is a discount of just 2.9% to the last sale price. FireFly Managing Director Steve Parsons said: "The overwhelming demand for the raising reflects the quality and growth outlook at Green Bay, our commitment to a multi-rig exploration campaign and the demand among global investors for top-shelf copper-gold projects. Equity Raising Details The equity raising will be completed in three parts (together, the Equity Raising), comprising: ~A$11.2 million (~C$10.0 million) charity flow-through placement to Canadian investors priced at approximately A$1.49 per New Share, which represents a 44.6% premium to FireFly's last closing price on Wednesday, 4 June 2025, and a 55.0% premium to the offer price under the Institutional Placement of A$0.96 per New Share (Charity Flow-Through Placement); ~A$54.9 million two-tranche institutional placement at the offer price of A$0.96 per New Share, which represents a 6.8% discount to FireFly's last closing price and a 7.2% discount to FireFly's 10-day volume weighted average price up to and including Wednesday, 4 June 2025 (Institutional Placement); and ~A$28.8 million (~C$25.8 million) fully underwritten Canadian bought deal offering with BMO Capital Markets. Concurrently with the Equity Raising, FireFly is also offering Eligible Shareholders (defined below) the opportunity to participate in a non-underwritten Share Purchase Plan (SPP) to raise up to an additional A$5,000,000 before costs (with the ability to accept oversubscriptions, at the discretion of the Company). Charity Flow-Through Placement The Company has received firm commitments under the Charity Flow-Through Placement to raise approximately C$10.0 million (~A$11.2 million) 1, before costs, through the issue of approximately 7.6 million New Shares at an issue price of approximately C$1.32 (A$1.49) per New Share (Flow-Through Shares) to be issued as Canadian "flow-through shares", which provide tax incentives to those investors for certain exploration expenditures that qualify under the Income Tax Act (Canada). Pursuant to a block trade agreement between PearTree Securities Inc. (PearTree) and Canaccord Genuity (Australia) Limited (Canaccord Genuity), Canaccord Genuity will facilitate the secondary sale of the Flow-Through Shares acquired by PearTree clients under the Charity Flow-Through Placement to sophisticated and professional investors by way of a block trade at A$0.96 per Flow-Through Share. The tax benefits associated with the Flow-Through Shares are available only to the initial investors (who are Canadian residents) and not to any other person who acquires the Flow-Through Shares through the on-sale or transfer of those Flow-Through Shares. _______________________________ 1 Based on an implied exchange rate of 0.8890. The Flow-Through Shares will be issued under the Company's existing placement capacity under ASX Listing Rule 7.1. Settlement of the New Shares under the Charity Flow-Through Placement is expected to occur on 13 June 2025 (followed by the block trade). The Flow-Through Shares will rank equally with the Company's existing ordinary shares on issue. A transaction specific prospectus under section 713 of the Corporations Act 2001 (Cth) (Corporations Act) will be issued in connection with the Charity Flow-Through Placement to facilitate secondary trading of the New Shares the subject of the Charity Flow-Through Placement. The Charity Flow-Through Placement has been facilitated by Canadian flow-through share exempt market dealer, PearTree, pursuant to a subscription and renunciation agreement with the Company. PearTree will not receive any fees or commission from the Company for its role with respect to the Charity Flow-Through Placement. Institutional Placement The Company has received firm commitments from sophisticated and professional investors under the Institutional Placement to raise approximately A$54.9 million (before costs) through the issue of approximately 57.2 million New Shares at an issue price of A$0.96 per New Share (Placement Shares). The Institutional Placement consists of approximately: 28.1 million New Shares to be issued under FireFly's existing placement capacity under ASX Listing Rule 7.1 to raise approximately A$26.9 million (before costs) (T1 Placement Shares); and 29.2 million New Shares to raise approximately A$28.0 million (before costs), subject to receipt of shareholder approval at a general meeting expected to be held in mid-July 2025 (T2 Placement Shares). Settlement of the T1 Placement Shares is expected to occur on or around Friday, 13 June 2025. Canadian Bought Deal Financing FireFly has entered into an agreement with BMO Nesbitt Burns Inc. (BMO), pursuant to which BMO has agreed to purchase, on a bought deal basis, 30,000,000 New Shares at a price of C$0.86 (A$0.96) per New Share for gross proceeds of C$25.8 million (approximately A$28.8 million) 2 (the Canadian Offering).
