Palo Alto Networks (NASDAQ: PANW) made waves Wednesday when it announced a pricey acquisition, and on Thursday, investors were clearly getting worried about the cost. Analysts, too, started to express concern, with two even downgrading their recommendation on the shares.
With these headwinds blowing in its face, Palo Alto's stock lost more than 5% of its value during the latter part of the trading day. That was a far steeper decline than the 0.4% slide of the benchmark S&P 500 index.
The $25 billion question
Palo Alto's asset-to-be is peer cybersecurity company CyberArk Software, for which it agreed to pay roughly $25 billion in a cash-and-stock deal.
CyberArk is a specialist in the niche area of identity security, and Palo Alto said that its ownership of the business will make the segment "a core pillar of the company's multi-platform strategy." The buyout has been unanimously approved by the boards of directors of both companies, and is anticipated to close in the second half of Palo Alto's fiscal 2026.
Palo Alto certainly isn't a poor company. Nevertheless, $25 billion is a major outlay. Several analysts don't think that's worth it, including that frequent downgrader, KeyBanc's Eric Heath.
Well before market open Thursday, Heath enumerated several major strategic concerns about the deal, according to reports. He cast doubt on the potential synergies of the two businesses, and opined that customers are likely to prefer using a specialized company purely for identity security rather than a broad cybersecurity services provider, among other factors.
Unkind cuts?
Other analysts were similarly bearish, although they didn't go as far as to downgrade their Palo Alto recommendations. They did reduce their price targets on the shares, however. That clutch of pundits included Mizuho's Gregg Moskowitz, who cut $15 from his fair value assessment on the stock to $210 per share. He did maintain his outperform (i.e., buy) recommendation, however.

A federal appeals court on Friday revived part of a lawsuit accusing Elon Musk's X of becoming a haven for child exploitation, though the court said the platform deserves broad immunity from claims over objectionable content. While rejecting some claims, the 9th U.S. Circuit Court of Appeals in San Francisco said X, formerly Twitter, must face a claim it was negligent by failing to promptly report a video containing explicit images of two underage boys to the National Center for Missing and Exploited Children (NCMEC). The case predated Musk's 2022 purchase of Twitter. A trial judge had dismissed the case in December 2023. X's lawyers did not immediately respond to requests for comment. Musk was not a defendant. One plaintiff, John Doe 1, said he was 13 when he and a friend, John Doe 2, were lured on SnapChat into providing nude photos of themselves to someone John Doe 1 thought was a 16-year-old girl at his school. The SnapChat user was actually a child pornography trafficker who blackmailed the plaintiffs into providing additional explicit photos. Those images were later compiled into a video that was posted on Twitter. According to court papers, Twitter took nine days after learning about the content to take it down and report it to NCMEC, following more than 167,000 views, court papers showed. Circuit Judge Danielle Forrest said section 230 of the federal Communications Decency Act, which protects online platforms from liability over user content, didn't shield X from the negligence claim once it learned about the pornography. 'The facts alleged here, coupled with the statutory 'actual knowledge' requirement, separates the duty to report child pornography to NCMEC from Twitter's role as a publisher,' she wrote for a three-judge panel. X must also face a claim its infrastructure made it too difficult to report child pornography. It was found immune from claims it knowingly benefited from sex trafficking, and created search features that 'amplify' child pornography posts. Dani Pinter, a lawyer at the National Center on Sexual Exploitation, which represented the plaintiffs, said in a statement: 'We look forward to discovery and ultimately trial against X to get justice and accountability.' They also inspired some analyst price target cuts. 10 stocks we like better than Arm Holdings › Arm Holdings (NASDAQ: ARM) felt something like an unwanted limb over the past few days, largely because of an earnings report that struck the wrong chord with more than a few investors. Several analyst price target cuts only highlighted this disappointment. Ultimately, according to data compiled by S&P Global Market Intelligence, the specialty tech company's shares plummeted by over 15% this week. Top-line growth, bottom-line slide U.K.-based Arm published its results for the first quarter of its fiscal 2026 on Wednesday. The report showed that the company managed to increase its total revenue by 12% year over year to slightly more than $1.05 billion. That was largely due to a 25% increase in royalty revenue, which landed at $585 million, and despite a 1% slump in licensing revenue to $468 million. Non- GAAP (adjusted) net income traveled in the opposite direction. It fell to $374 million, or $0.35 per share, compared with the year-ago profit of $419 million. With those numbers, Arm met the consensus analyst estimate for profitability, although it missed slightly on revenue -- pundits following the stock were expecting it to earn $1.06 billion. More of a concern for investors was management's guidance for the company's current (second) quarter. Its forecast is for $1.01 billion to $1.11 billion in revenue, which, if achieved, would be down or, at best, essentially flat over the first quarter. Meanwhile, adjusted earnings were forecast at $0.29 to $0.37. Bearish analyst moves Although analyst reactions to the quarter were mixed, enough pundits trimmed their price targets to affect sentiment on the stock. UBS 's Timothy Arcuri, for one, shaved his fair value assessment to $175 per Arm share from his preceding $185. He did, however, maintain his buy recommendation. Lee Simpson of Morgan Stanley acted similarly, reducing the price target to $180 per share from $194 while keeping an overweight (buy, in other words) rating intact. The Keg Royalties Income Fund Obtains Unitholder Approval for the Transaction with Fairfax

VANCOUVER, British Columbia, Aug. 01, 2025 (GLOBE NEWSWIRE) -- The Keg Royalties Income Fund (the ' Fund ') (TSX: is pleased to announce that, at its special meeting (' Meeting ') of the unitholders (' Unitholders ') and holders of securities exchangeable into units (the ' Exchangeable Unitholders ') of the Fund (the ' Units ') held earlier today, Unitholders and Exchangeable Unitholders voted overwhelmingly in favour of the proposed acquisition by 1543965 B.C. Ltd. (the ' Purchaser '), a subsidiary of Fairfax Financial Holdings Limited (the ' Parent ') of all of the issued and outstanding units of the Fund not otherwise owned by it and its affiliates (collectively, ' Fairfax ') for a price of $18.60 per Unit (the ' Consideration '), payable in cash by way of a statutory plan of arrangement under the Business Corporations Act (British Columbia) in accordance with the arrangement agreement dated June 16, 2025 among the Fund, the Purchaser and the Parent (the ' Arrangement Agreement ', and such acquisition and the other transactions contemplated in the Arrangement Agreement, the ' Transaction '). The Arrangement Agreement provides that in addition to the Consideration, Unitholders will be entitled to receive a prorated monthly distribution for the month in which the closing occurs, as well as a special cash distribution based on the Fund's historical practice of paying annual special distributions, with such special cash distribution being set at $0.055 per Unit for the 2025 fiscal year, prorated for the portion of the fiscal year completed as of the closing of the Transaction. The Transaction required the approval of (a) more than two thirds of the votes cast by Unitholders (including for this purpose Exchangeable Unitholders) present in person or represented by proxy at the Meeting, and (b) a simple majority of the votes cast by Unitholders present in person or represented by proxy at the Meeting, excluding the votes of Fairfax and any other Unitholders whose votes were required to be excluded for the purposes of "minority approval" under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (' MI 61-101 '). Of the votes cast at the Meeting with respect to the Transaction, 99.42% were voted in favour of the Transaction. In addition, of the votes cast at the Meeting with respect to the Transaction, excluding those votes required to be excluded pursuant to MI 61-101, 98.79% were voted in favour of the Transaction. A report of voting results for the Meeting will be available on the SEDAR+ profile of the Fund at The Transaction is structured as a statutory plan of arrangement under the Business Corporations Act (British Columbia). The Fund and Fairfax intend to seek a final order from the Supreme Court of British Columbia to approve the plan of arrangement on August 7, 2025 (the ' Final Order '). Completion of the Transaction remains subject to the satisfaction or waiver of certain customary closing conditions, including the receipt of the Final Order. Subject to the satisfaction or waiver of all conditions to the Transaction, the Transaction is expected to be completed on or about August 13, 2025. It is expected that the Units will be delisted from the Toronto Stock Exchange in connection with the Transaction.
