CHAUDHRI: Court of Appeal sends warning to Ontario employers

Employers can employ creative ways to keep contracts evergreen and enforceable. Photo by fizkes / iStock / Getty Images The Court of Appeal released a decision this month that will impact most Ontario employers, particularly those that use employment agreements. She was 49 at the time of her termination in the position of Decor Store Manager. Her annual salary was $80,000 plus an annual bonus of approximately $5,000. De Castro was terminated on a without cause basis. She sued for wrongful dismissal damages and her case was heard by way of a summary judgment motion before Justice Markus Koehnen. De Castro sought eight months of wrongful dismissal damages. The case is interesting because Arista argued in court that De Castro was only entitled to four weeks of pay due to her signing an employment agreement that limited her entitlements on termination. De Castro did not contest that she signed the termination agreement containing the termination clause. Her counsel argued that the termination clause was unenforceable as they purported to provide even less than her statutory entitlements. Your noon-hour look at what's happening in Toronto and beyond. For non-law folks, understanding why a termination clause could be unenforceable is not an easy exercise. But suffice it to say, that a hypothetical scenario could render a termination clause invalid (even if it does not occur). For example, in Arista, even though De Castro was not terminated for cause, the court found that the section of her contract dealing with a hypothetical termination for cause breached De Castro's rights under employment legislation. The hypothetical breach rendered the entire termination clause void. This treatment by the courts is non-obvious and even very sophisticated employers may be unaware as to whether or not their own contracts would hold water under this high level of scrutiny. This advertisement has not loaded yet, but your article continues below. Getting back to the case, De Castro was awarded eight months of wrongful dismissal damages plus 10% for loss of benefits. She also received a cost award in the amount of $57,620.85. RECOMMENDED VIDEO Arista appealed the decision and the Ontario Court of Appeal weighed in on De Castro's employment agreement in a very recent decision. Upholding the trial decision, the tri-judge panel considered arguments by Arista including that De Castro's contract 'evinces a desire to comply with the law.' To that, the court found 'If the language of the agreement violates the law, it is no answer for the employer to say that it did not intend this result.' It also noted that employees have less bargaining power than employers (when it comes to employment agreements). This advertisement has not loaded yet, but your article continues below. Good intentions did not carry the day for this employer. The court of appeal dismissed the appeal and awarded a further $5,000 in costs to De Castro. The grand takeaway from these two decisions is this: employment contracts can, at the same time, be the best thing you do for your company and the most dangerous. Read More Contracts are static while employment law is dynamic. A single court decision can render contractual clauses stale, out-dated or worse, illegal. The news is not all bad. Employers can employ creative ways to keep contracts evergreen and enforceable. The short term costs are often worth it. Have a workplace problem? Maybe I can help! Pro-Duterte remarks falsely attributed to Philippine news anchor

"Former President Rodrigo Roa Duterte/Father Digong did not start the war to kill, he started it to save," reads part of a lengthy March 15, 2025 Facebook post with more than 24,000 shares. It ascribes the quote to De Castro, a longtime anchor at Philippine broadcaster ABS-CBN and a former vice president of the country. The post includes a screenshot of De Castro during his nightly programme TV Patrol (archived link). "Duterte is gone, and the drug problem is coming back. Crime is rising again. Ask yourself was he really the problem, or was he the only one brave enough to fix it?" the post goes on to say, before ending with a call to bring the 79-year-old former leader home. Image Screenshot of false Facebook post taken on March 25, 2025 Similar Facebook posts surfaced after Duterte's stunning arrest and swift transfer to the custody of the International Criminal Court (ICC) in The Hague to face charges linked to his anti-narcotics campaign (archived link). Rights activists say tens of thousands of mostly poor men were killed in his government's crackdown, often without proof they were linked to drugs. "Very well said, Kabayan Noli De Castro," read a comment in one of the circulating posts, using De Castro's nickname and indicating the user believed the remarks were his. "You're right, sir Noli De Castro. He really is like a father to us. He's old, he doesn't deserve this type of stress anymore," another wrote. But the veteran broadcaster never made the supposed statement. ABS-CBN shared a post from De Castro's Instagram account on March 17, where he shared screenshots of the posts stamped with text that said "FAKE" (archived links here and here). Image Screenshot of Noli De Castro's Instagram post taken on March 26, 2025 The same post was also shared on De Castro's Facebook page (archived link). A reverse image search found the photo in the post was taken from a segment of a March 14, 2025 broadcast of ABS-CBN's evening news programme TV Patrol (archived link). At the 59:41-mark of the hour-long newscast, De Castro introduced the report and can be heard saying in Tagalog: "For the first time, the International Criminal Court released details about former president Rodrigo Duterte's charge of crime against humanity, which became the basis of his arrest." Nowhere in the segment -- or in the entire newscast -- did he make the supposed remarks shared in the false posts. Steelers Daily News & Links: Your daily stop for all of the news and links 🏈 After initial hesitation, Ross votes approved former Steelers guard David DeCastro's medical marijuana dispensary. The dispensary will be at 7725 McKnight Road, where G&G Fitness Equipment currently sits. DeCastro, who was a six-time Pro Bowl guard with the Steelers from 2012-2020, was released with a non-football injury designation in June of 2021. He never played in the NFL again. DeCastro said the marijuana business is 'new to him' and he 'views it as medicine.' He'll run the dispensary like a pharmacy. DeCastro is listed as a strategic investor of Whole Plants LLC, a marijuana company, in addition to other former Steelers players Ben Roethlisberger and Bud Dupree. 🏈 Steelers All-Pro defensive tackle Cam Heyward wrote on X, 'Long in the tooth but I bite back.' It seems like a clear message that Heyward isn't slowing down anytime soon, despite turning 36 in May and heading into his 15th season in the NFL. 'Justin Fields is more likely to be the starting quarterback of the Steelers in 2025 than Russell Wilson. Both QBs are set to hit free agency, and Pittsburgh is expected to keep at least one of them. Fields does have a really good market going into free agency, but similar to (Sam) Darnold, the Steelers have the opportunity over the next week or so to lock it in right now and get their starting quarterback for 2025,' Rapoport said. 🏈 Warren Sharp of Sharp Football thinks re-singing Justin Fields won't accomplish anything. The Steelers will still be stuck in quarterback purgatory. things that won't go well long term:taking Justin Fields to a Lamar Jackson fighttaking Justin Fields to a Joe Burrow fighttaking Justin Fields to a Patrick Mahomes fighttaking Justin Fields to a Josh Allen fightFields as QB1 in the AFC/AFC North = treading water — Warren Sharp (@SharpFootball) March 4, 2025 🏈Adam Schefter of ESPN believes the Steelers are going to work on getting a deal done with Justin Fields or Russell Wilson this week.
