AECOM announces expiration and results of offer to purchase 5.125% Senior Notes due 2027
DALLAS--(BUSINESS WIRE)--AECOM (NYSE: ACM) today announced that its previously announced cash tender offer (the 'Tender Offer') for any and all of its 5.125% senior notes due 2027 (the 'Notes') expired at 5:00 p.m. New York City time, on July 21, 2025 (the 'Expiration Date'). According to information provided by D.F. King and Co., Inc., the Tender and Information Agent for the Tender Offer, $732,914,000 aggregate principal amount of the Notes, or 73.49% of the aggregate principal amount outstanding, were validly tendered at or prior to the expiration of the Tender Offer and not validly withdrawn. In addition, $4,376,000 aggregate principal amount of the Notes were tendered pursuant to the guaranteed delivery procedures described in the Offer to Purchase, dated July 15, 2025 (the 'Offer to Purchase') and remain subject to the applicable delivery requirements under such procedures. The Tender Offer was made pursuant to the Offer to Purchase and the related Notice of Guaranteed Delivery (together with the Offer to Purchase, the 'Offer Documents'). The obligation of AECOM to accept the Notes tendered and to pay the consideration for the Notes is subject to satisfaction or waiver of certain conditions, which are more fully described in the Offer to Purchase. The settlement date for Notes validly tendered and not validly withdrawn and accepted for purchase and delivered at or prior to the Expiration Date is today, July 22, 2025 (the 'Initial Settlement Date'), and the settlement date for Notes delivered pursuant to the guaranteed delivery procedures described in the Offer to Purchase is expected to be July 24, 2025 (the 'Guaranteed Delivery Settlement Date'). ('Rogers' or the 'Company') (TSX: RCI.A and RCI.B; NYSE: RCI) announced (i) the release of the results of its previously announced eight separate offers (the 'Offers') to purchase for cash any and all of the outstanding notes of each series listed in the table below (collectively, the 'Notes'), and (ii) that Rogers is increasing the aggregate Total Consideration payable for all Notes it will accept for purchase in the Offers, excluding accrued but unpaid interest, from the previously announced amount of US$1,250,000,000 to US$1,400,000,000 (the 'Consideration Cap Amount'). BRC responds to Employment Rights Bill roadmap
The British Retail Consortium has welcomed the publication of the Employment Rights Bill Roadmap by the government on July 1, which sets out the timelines for measures in the Bill aimed at boosting rights for half of all UK workers and providing certainty to employers. The government states the Bill will raise living standards across the country and the roadmap will give employers and workers the time to adapt. It hopes to deliver its new package of workers' rights through the 'Make Work Pay' plan. Landmark changes in the Employment Rights Bill include sick pay for up to 1.3 million of the lowest earners and day one rights to parental and paternity leave will be introduced for the first time from early next year. Other key points include the establishment of a Fair Work Agency in April 2026 to enforce labour rights and promote fairness in the workplace, alongside whistleblowing protections to encourage reporting of wrongdoing without fear of retaliation. From 2027, the Bill will introduce a gender pay gap and menopause action plans to promote gender equality and support women's health in the workplace, alongside enhanced dismissal protections for pregnant women and new mothers to safeguard job security, as well as ending the "exploitative use of zero hours contracts to provide workers with stable hours and predictable income". Commenting on the roadmap, Helen Dickinson, chief executive at the British Retail Consortium, said in a statement: 'We welcome the publication of the roadmap, particularly the clarity it provides around timescales for consulting on and implementing various policies within the Employment Rights Bill. It is critical this includes quality engagement with the large employing sectors where implementation will have significant consequences.' 'Retailers remain concerned about some of the proposals. WALTHAM, Mass., June 10, 2025--(BUSINESS WIRE)--Global Partners LP (NYSE: GLP) ("Global") today announced that it has priced an upsized private offering of $450 million in aggregate principal amount of 7.125% senior unsecured notes due 2033 (the "Senior Notes").
