FSCA juggling high-profile cases with limited resources

Regulator finalised 78 cases in its last financial year by implementing World Bank-recommended case selection framework.

Despite having only nine investigators in its market abuse team, the Financial Sector Conduct Authority (FSCA) has had to manage some of South Africa's most complex market abuse cases – including the fallout from the Steinhoff accounting scandal.
'It's really been challenging,' says Alex Pascoe, head of market abuse at the FSCA. 'From December 2017, when Steinhoff announced accounting irregularities and its CEO Markus Jooste resigned, everything spiralled.'
Pascoe was speaking at the launch of the South African Market Surveillance Code of Conduct in Cape Town on Tuesday, where he gave an account of the regulator's most prominent cases over the past eight years.
The newly launched code of conduct is a joint initiative by South Africa's key financial institutions and regulators to align the country's market practices with global best standards.
It aims to uphold market integrity and prevent abuse, anti-competitive behaviour, and insider trading. Although it does not replace existing regulations, it reinforces accountability from all market participants.

Case load
Pascoe notes that the FSCA receives roughly 42 to 45 market abuse cases per year, but finalised 78 cases in its last financial year by implementing a World Bank-recommended case selection framework.
'We had to look at our resources – for the last 15 years, my team hasn't grown. We are just nine investigators.'
Pascoe reflected on how the fallout from Steinhoff forced the FSCA to re-evaluate how it allocates investigative capacity.
'Everybody knew Jooste was Steinhoff, and Steinhoff was Jooste,' he says.
'From there on it spiralled – Viceroy and Tongaat [another accounting scandal], a mini-Steinhoff followed. It took a lot of resources to manage those cases, especially since they involved cross-border transactions.'
(The Viceroy case refers to the FSCA's investigation into the US-based short-selling firm Viceroy Research, which was fined R50 million for publishing false and misleading statements about Capitec. The Tongaat accounting scandal involved the manipulation of financial statements by senior executives at sugar producer Tongaat Hulett to overstate the company's assets and profits.)

Jooste a 'brilliant' schemer
The Steinhoff investigation is far from over. 'Last year we issued fines to Markus Jooste [of] R495 million. We are looking at his deceased estate and assets around the world,' said Pascoe.
'We won't just leave it at that. Ill-gotten gains – be [he] dead or alive – that's how serious we are. We are seeing this right through.'
(Jooste, who faced multiple charges of fraud and racketeering and hefty fines from the JSE and the FSCA for financial misconduct, fatally shot himself in Hermanus in March 2024.)
The South African Reserve Bank has already attached R1.4 billion in assets belonging to Jooste, but the global search continues. 'Most of his funds were hidden overseas,' says Pascoe.
He adds that a second investigative report into Steinhoff is underway and has been shared with the commercial crimes court. 'Once preliminary findings are in, they [respondents] could make submissions.'
Reflecting on lessons learned from Steinhoff, Pascoe says be on the lookout for a dominant CEO. The way Jooste set up the schemes was brilliant.
'Only certain individuals knew what he wanted them to know. Nobody had the full picture.'
He adds that Jooste's devices were wiped every two weeks, and hardly anything was documented.
Steinhoff's complex global structure, multiple acquisitions, and lack of transparency made it difficult for stakeholders to understand the company's financial position.
'It was difficult to keep up and understand how everything fitted in,' says Pascoe.
He also points to poor internal controls and captured auditors in Europe as contributing factors. 'The audits were not up to standard. And then, the culture of not questioning management.'

'We're getting requests from all over the world – Sweden, Belgium, even Pakistan,' said Pascoe. 'A lot of suspicious transactions are from overseas, and no longer from the JSE.'

Shadow trading
The need for international collaboration was echoed by Tony Sio, head of regulatory strategy and innovation at Nasdaq's Anti-Financial Crime division, who also spoke at Tuesday's event.
Sio shared developments in market abuse investigations, including a growing focus on shadow trading – a form of misconduct that remains largely unprosecuted but which are increasingly on the radar of regulators.
'Shadow trading is where insider traders don't trade in the companies themselves, but in economically-linked securities,' Sio explains.
Although the practice started as a hypothetical scenario in an academic journal published in 2020, it is now being observed in market data. 'We found increases in volumes of linked securities before acquisitions.'
He cites the 2021 case where the executive of a pharmaceutical company learned of an imminent takeover and used the information to buy options in a rival company likely to benefit from the news.
'His options doubled in value in one day. He thought he was smart by not buying in the company itself – but he was found liable.'

Robust market surveillance attracts global investment
Happy Shihau, head of compliance at Investec Corporate and Institutional Banking, who facilitated discussions at the launch event, stresses that the newly launched market surveillance conduct code complements – rather than replaces – regulatory rules and directives.
Shihau says robust market surveillance is essential to attracting global investment.
'Investors worldwide seek to engage with trusted financial markets, and robust market surveillance is essential for upholding that trust.'
She adds that the new code will help reinforce the regulatory environment and promote responsible behaviour across the industry.

Perhaps the most potent illusion this unexamined assumption instills is that what is best for big business is best for people. In reality, maintaining profitability, cutting operational costs, minimising risk to investors, maximising shareholder value, ensuring returns on investment, remaining competitive and being exposed to the fluctuation of markets means that private sector firms — as an unavoidable imperative of surviving in a capitalist economy — will always put their prosperity over the welfare of the public. This is evidenced by international experiences in both developed and developing countries. As an example, the World Bank's use of the term 'modernisation' is merely a euphemism for the continued liberalisation of the energy and logistics sector, further commercialising state-owned enterprises and eventually leading to their privatisation. Liberalisation — which is the removal of government regulations, the breaking down of monopolies and facilitation of competition — precedes or coincides with commercialisation, setting the scene for private participation and market competition. Through commercialisation, public utilities and services that should have a mandate to serve the public good are turned into enterprises that prioritise revenue and profitability. Their services are brought into a competitive market consisting of private firms with a mandate to make profits. Privatisation, the process of transferring ownership and control of public assets and services to private entities to be run on a commercial basis, is often preceded by the liberalisation of public sector utilities and the commercialisation of public services. The logic behind the GNU's agenda is for the government, using its authority to create legislation and enforce policy, to forge the most hospitable conditions for capital accumulation by cultivating a business friendly environment that will attract private investment in infrastructure, increase the efficiency of key economic sectors and grow our economy, producing jobs and reducing poverty. Weaving sermons in the editorial rooms of the corporate-sponsored media and evangelising in the offices of the treasury, the priests of this trickle-down gospel portray private investment as South Africa's sole salvation. The most important element of the GNU's structural reform agenda is the drive for private financing of public infrastructure development through public-private partnerships. In countries such as Spain, Mexico, India, Peru, Nepal, Scotland and Liberia the commercialisation or partial privatisation of public utility and services through public-private partnerships Moreover, democratic accountability and the need for transparency in the provision of public goods has been undermined when crucial infrastructure is handed over to private hands. In developing countries such as South Africa, the growing reliance on private companies to deliver public services and build public infrastructure The government has retained a commitment to neoliberalism for decades, whether through the Growth, Employment and Redistribution, the Accelerated and Shared Growth Initiatives for South Africa, the National Development Plan or the Reconstruction and Recovery Plan. LUANDA - US companies pledged investments in Africa ranging from power lines to digital infrastructure at a business summit that underscored Washington's push for growth through trade, not aid, US authorities said Thursday. The deals were agreed at the US-Africa Business Summit of African leaders and representatives of the US government and private sector that wrapped up in Luanda Wednesday, the US embassy in Angola said in a statement. Angola is the key US partner in one of its most ambitious projects on the continent focused on a railway line transporting critical minerals from the Democratic Republic of Congo (DRC) and Zambia to Angola's Atlantic Ocean port of Lobito from where they can be exported. It is seen as a US counterpoint to China's expanding economic influence in Africa. The Lobito Corridor -- also funded by the European Union and African multilateral institutions -- aims to set up logistics and agricultural production zones along the railway line through private investment. One of the deals from the meeting was for a US consortium to work with an Angolan group to construct and operate 22 grain silo terminals along the Lobito Corridor, the statement said. Another was a memorandum of understanding on the construction of a 1,150-kilometre (720-mile) electricity transmission line between Angola and the DRC, it said. Other planned collaborations included for boosting digital infrastructure and cybersecurity in Angola, to develop West Africa's first terminal for US-sourced LNG in Sierra Leone, and for a US stake in a hydropower project spanning Rwanda and the DRC. "The Trump administration views this moment as an opportunity to deepen our engagement across Africa's economic landscape," the president's senior advisor for Africa, Massad Boulos, was quoted as telling the meeting. "We believe that business and trade, not aid, are the engines of long-term, sustainable growth," he said. Five benefits Africa's new space agency can deliver

Africa's new space agency has an important role to play in coordinating satellite data and boosting connectivity. The African Space Agency was officially inaugurated in Cairo's Space City in April 2025. The event marked a milestone in a process that had been in the works since the early 2000s. Drawing inspiration from the European Space Agency, it unites African Union (AU) member states to harness space technology for development. This is in line with the AU's Agenda 2063, aimed at advancing Africa into a prosperous future. The agency's goal is to: coordinate and implement Africa's space ambitions by promoting collaboration among the AU's 55 member states harness space technologies for sustainable development, climate resilience and socio-economic growth oversee the African Space Policy and Strategy to enhance access to space-derived data foster partnerships with international space agencies like the European Space Agency and others Over 20 African countries operate space programmes and more than 65 African satellites have been launched. It is my view as a global space diplomacy expert that the agency can help ensure that Africa isn't a bystander in the space economy. This sector is projected to be worth US$1.8 trillion by 2035. The space agency positions Africa to address pressing challenges and take advantage of opportunities in the global space economy. These include using satellite data, boosting connectivity, driving economic growth, fostering global partnerships and training future leaders. Five benefits Valuable eyes in the sky Space assets, particularly Earth observation satellites, offer a number of advantages. The continent faces significant climate risks like droughts, fires and floods. This is particularly problematic as the agricultural sector is approximately 35% of Africa's GDP and employs about half of its people across over 1 billion hectares of arable land. Satellite data optimises crop yields, supports climate-resilient farming, and enhances sustainable fisheries and port modernisation. Nigeria's National Space Research and Deveopment Agency, for example, has used satellites like the NigSat-2 to monitor crop health and predict yields. Beyond agriculture, satellites assist in project planning in cities across Africa. Kenya uses a satellite to track urban development trends and enhance municipal urban planning capacities. Satellites also keep an eye on Africa's resource-abundant territories while tackling problems like armed conflict, deforestation, and illegal migration and mining. The African Space Agency will help provide access to AI-enhanced satellite data. This will enable even nations with constrained resources to tackle local needs. For instance, Côte d'Ivoire's first locally made satellite, launched in 2024, shows how African nations are building their own capabilities. By making it easier to share data, the African Space Agency also positions the continent to generate revenue in the global space data market. That fuels innovation. Enhancing connectivity and enabling cutting-edge technology Africa's digital divide is stark. Only 38% of its population was online in 2024, compared to the global average of 68%. The African Space Agency aims to bridge this gap through satellite-based communications. This technology can deliver broadband to remote regions where cell towers and undersea cables are impractical. Connectivity enables education, e-commerce and telemedicine. Satellite services, like those provided by SpaceX's Starlink in 21 African countries, will drive digital inclusion. In turn this promises to reduce unemployment and help entrepreneurs. The African Space Agency is also positioning Africa to embrace new space technologies. Examples include Japan's 2025 demonstration of beaming solar power from space, following a US achievement in 2023. This could revolutionise energy access. Space-based solar power captures solar energy in orbit via satellite and transmits it as microwaves to Earth. This offers a solution to Africa's energy poverty. It could provide reliable power to remote areas without extensive grid infrastructure. The African Space Agency's role in coordinating satellite launches and data sharing will make these technologies more accessible and cost-effective. Driving economic growth and innovation Africa's space sector, now worth over US$20 billion, is growing rapidly. The industry has seen an increase of private companies and investor support, moving beyond sole dependence on government funding. Investment is being fuelled by 327 NewSpace firms, a term used for the new emerging commercial space industry in nations such as Egypt, Nigeria, and South Africa. These firms often excel in satellite communication, Earth observation and component manufacturing. But many African nations lack resources. The agency will lower barriers by fostering collaboration, coordinating national space programmes, and reducing example, the African Space Agency's efforts to streamline satellite development and launches will spur local manufacturing and tech hubs. This means that smaller economies will be able to participate. Strengthening regional and global connections Africa's space sector relies on partnerships with space agencies and commercial space companies based in the 'space powers'. These include the US, Russia, China, France, India, Italy, Japan, Israel and the United Arab Emirates. These institutions provide launch services, satellite development and ground stations. An example is Senegal's GaindeSAT-1A, a CubeSat launched in 2024 via America's SpaceX with French collaboration. Meanwhile, countries like South Africa are exploring local rocket programmes to enhance the agency's self-reliance. Africa's space ground stations are already located across the continent, supporting the European Space Agency and commercial missions. They will soon host a deep space ground station for America's National Aeronautics and Space Administration. Funding remains a challenge. African nations allocated just US$426 million to space programmes in 2025. That's less than 1% of global spending. The European Space Agency has an US$8 billion budget. However, initiatives like the €100 million Africa-EU Space Partnership Programme (2025–2028) aim to boost Africa's space sovereignty and innovation. The agency's vision extends beyond Earth, with an eye on the Moon. Some members, notably Angola, Nigeria and Rwanda, have already signed the US-led Artemis Accords for lunar exploration. For their part Egypt and South Africa are collaborating with China and Russia on the International Lunar Research Station. Training the next generation A skilled workforce is critical to Africa's space industry. The African Space Agency Space City plans to host a training academy. It will build on Egypt's programmes in space project management, satellite design, and orbital simulation. Partnerships like the Africa-EU programme offer scholarships, while private initiatives, such as the Pathways to Space programme by Boeing and the Future African Space Explorers STEM Academy, engage students in 63 schools in Ethiopia, Nigeria, and Tanzania.
