Mauna Kea Technologies (Euronext Growth: ALMKT), inventor of Cellvizio ®, the multidisciplinary probe and needle-based confocal laser endomicroscopy (p/nCLE) platform, today announces that it has secured a bridge financing through the issuance of convertible bonds to European investors, including Vester Finance, a Company's shareholder and long-term financing partner.
This financing immediately extends Mauna Kea Technologies' financial visibility through November 2025, beyond the timeframe of the ongoing safeguard procedure. It provides the Company with the flexibility needed to complete its financial restructuring and finalize the presentation of its safeguard plan. Mauna Kea Technologies is also working on structuring a bridge financing intended to ensure business continuity during the observation period.
In parallel, the Company is actively structuring a long-term financing plan with strategic investors and family offices to sustainably support Mauna Kea Technologies' operational development.

Key Terms of the Convertible Bond Issuance
The issuance of convertible bonds was carried out based on the delegation granted by the Company's shareholders during the General Meeting held on June 5, 2025, under the 12 th resolution 1. This issue was carried out on the basis of Article L. 225-138 of the French Commercial Code, with the removal of preferential subscription rights in favor of a category of investors meeting the characteristics determined by the General Meeting 2.
The convertible bonds, with a nominal unit value of €10 and a total nominal value of €1,956,510 were subscribed at 92% of their nominal value, for a total subscription price of €1,799,989.20 paid in full on the day of subscription. The bonds will bear no interest.
The conversion price will be determined based on the stock market price 3 at the time of conversion, in accordance with pricing rules and the ceiling set by the shareholders' meeting.
The proceeds will fund the Company's operating and investment needs (excluding any repayment of existing financial debt), extending its cash visibility until November 2025. Unconverted bonds will be redeemed at maturity at 100% of their nominal value 24 months after issuance. Bonds may be converted at any time from the issue date until maturity. This transaction was advised by Vester Finance, which is also a subscriber to OC0727.
For illustrative purposes, if all convertible bonds were converted based on the Mauna Kea stock closing price on July 9, 2025, a shareholder holding 1% of the capital prior to the issuance and conversion would hold 0.82% of the capital on a non-diluted basis and 0.69% on a fully diluted basis. The new shares issued from conversion will be fully fungible with existing ordinary shares and will carry the same rights.

McCormick (MKC) Gets Price Target Cut as Stifel Flags Sector-Wide Caution

McCormick & Company Inc. (NYSE:MKC) is one of the best defensive stocks to invest in according to analysts. In its Q2 2025 results report at the end of June, the company highlighted headwinds from tariff costs over FY 2025, which it plans to offset through adjustments in sourcing of materials, pricing, and cost discipline. However, pricing seems to be slightly less elastic for the company, and most of the revenue growth appears to be coming from higher volumes, as pricing has declined for the last three quarters, while it contributed only 0.3% towards the organic sales growth of 1.6% in Q2. McCormick's share price has already lost around 8% YTD, and the market appears cautious on the consumption trends. In a note dated July 29, Stifel Nicolaus analyst Matthew Smith revised his outlook on the company and lowered the price target from $82 to $76 while maintaining a Hold rating. Smith expressed a cautious stance ahead of the second-quarter earnings season, particularly for food sector stocks under his coverage. The analyst pointed to ongoing softness in consumer demand that persisted through the second quarter, contributing to a more conservative view on the group's performance. For 2025, Stifel projects only about 1% organic sales growth across its food and beverage coverage universe, alongside an average EPS decline of 15%. Given these subdued expectations, the analyst advised investors to take a selective approach when considering exposure to the food sector. McCormick & Company Inc. Vance: ‘We're done with the funding of the Ukraine war business'

Vice President Vance on Sunday said he wants peace and to stop funding the Ukraine war, ahead of a Friday meeting in Alaska between President Trump and Russian President Vladimir Putin to discuss a ceasefire deal. 'We're done with the funding of the Ukraine war business. We want to bring about a peaceful settlement to this thing,' Vance told Fox News's Maria Bartiromo on 'Sunday Morning Futures.' In Alaska, the Trump administration hopes for a breakthrough in peace negotiations with Moscow and a discussion around territorial acquisitions. Earlier this week, the Kremlin shared a ceasefire deal with the Trump administration, asking for control of Eastern Ukraine in exchange for a halt in hostilities. Ukrainian President Volodymyr Zelensky adamantly opposed the deal, stating on X, 'Ukraine is ready for real decisions that can bring peace. Any decisions that are against us, any decisions that are without Ukraine, are at the same time decisions against peace.' Zelensky was not invited to the summit, but the White House and the NATO Ambassador, Matthew Whitaker, have said that it's a possibility and Trump is open to a trilateral summit. This uneven deal led to an intense response from European leaders, who said they would support Trump's effort diplomatically and through economic and military means but that a resolution 'must protect Ukraine's and Europe's vital security interests.' Trump vowed to end the conflict in 24 hours during his presidential campaign, but negotiations are harder than anticipated and the 3-year-long conflict is costly for both America and Europe. 'Americans, I think, are sick of continuing to send their money, their tax dollars of this particular conflict but if the Europeans want to step up and actually buy the weapons from American producers were okay with that but were not gonna fund it ourselves anymore,' Vance continued. This is not the first time the vice president has asked European leaders to take on a bigger role. However, in June, Trump secured a historic deal for NATO allies to spend five percent of their GDP on defense. In July, the president made another deal with NATO for the U.S. to send lethal weapons to Ukraine that were purchased by other NATO countries. These two steps significantly grew Europe's economic involvement in the Russia-Ukraine war. Vance went to England on Saturday to discuss Trump's efforts towards peace. 'What we said to Europeans is simply, first of all, this is in your neck of the woods, this is in your backdoor, you guys have got to step up and take a bigger role in this thing, and if you care so much about this conflict you should be willing to play a more direct and a more substantial way in funding this war yourself,' Vance said on Fox News.
