Blue Moon Metals Announces Start of Mobilization for Nussir Underground Development, Follow on Equity Investment of C$1.13M From Mining Contractor and Engagement of Market Maker

TORONTO, May 08, 2025 (GLOBE NEWSWIRE) -- Blue Moon Metals Inc. ('Blue Moon' or the 'Company') (TSXV: MOON; OTCQX: BMOOF), is pleased to announce the mobilization of Leonhard Nilsen & Sønner AS ('LNS') in preparation for underground development of the exploration decline and confirmation of underground mining parameters at its Nussir Copper-Gold-Silver Project in Northern Norway (the 'Project'). LNS is a highly skilled world class tunneling and mining contractor with extensive experience working in northern Norway and other jurisdictions. The work to be completed over the next year is expected to provide key inputs for engineering studies that the Company anticipates will lead to a final investment decision for the entire Project in 2026, including mine, process plant and tailings infrastructure.
Follow on Equity Investment
In addition to its initial C$4.2 million subscription that closed on December 19, 2024, LNS agreed to subscribe for an additional C$2.2 million of Blue Moon common shares upon the occurrence of two milestones, the first being the start of LNS underground mobilization at the Project, and the second being the date that is 10 months thereafter. With the Company achieving the first milestone, LNS subscribed for 376,833 common shares of Blue Moon at a price of C$3.00 per share for aggregate gross proceeds of C$1.13M (the 'Financing').
The Financing was approved by the TSX Venture Exchange ('TSXV') and closed on May 8, 2025. No finder's fees were paid in connection with the Financing, and the Common Shares issued pursuant to the Financing will be subject to a statutory 4-month and one day hold period from the date of issuance. The proceeds from the Financing will be used for underground development at the Project.
Engagement of Red Cloud Securities Inc.
Blue Moon has retained Red Cloud Securities Inc. ('Red Cloud') to provide market stabilization and liquidity services in accordance with policies of the TSXV. Under the agreement, Red Cloud will trade the securities of the Company on the TSXV, adhering to regulatory exchange policies, to maintain market stability and liquidity for the Company's common shares ('Services').
In consideration for the Services, the Company will pay Red Cloud a monthly fee of $7,000 for a minimum term of three months. The fee for the first month shall be paid in advance and thereafter on a monthly basis. The agreement has a one-year term and may be terminated by either party upon 30 days' written notice, after the initial minimum term of three months. Blue Moon and Red Cloud are unrelated and unaffiliated entities and, as at the time of the agreement, Red Cloud does not hold any interest, directly or indirectly, in the securities of Blue Moon. Red Cloud will not receive shares or options as compensation and the capital used for market-making will be provided by Red Cloud.
Red Cloud Securities Inc. is a Toronto-based Investment Dealer and a member of the Canadia Investment Regulatory Organization (CIRO), focused on providing a full range of brokerage services to all investor types focused in the junior resource sector. Stock Option Grant
The Company has granted a total of 24,000 incentive stock options under the Company's share compensation plan to a consultant of the Company. The stock options have an exercise price of $3.00 per stock option and are exercisable for a period of five years from the date of grant. The stock options vest over three years with a third vesting every year and are governed by the terms and conditions of the Company's stock option plan.

Oracle has signed a 15-year lease to anchor the Abilene data center. Crusoe's evolution from gas-powered crypto rigs to liquid-cooled AI supercenters captures the arc of next-gen computing. AI infrastructure startup Crusoe Energy Systems has secured $11.6 billion in funding commitments to build a massive data center in Abilene, Texas, designed to support OpenAI's expanding computing needs. The new funding round, backed by Blue Owl Capital's Real Assets platform and Primary Digital Infrastructure, brings total capital raised for the project to $15 billion, The Wall Street Journal reported. According to Crusoe, the facility marks a critical step in OpenAI's infrastructure strategy. Initially planned as a two-building campus, the project now spans eight buildings. It is expected to deliver 1.2 gigawatts of power capacity, making it one of the largest AI training hubs globally. According to Crusoe, the buildings planned in Abilene are designed for industry-scale performance, with each capable of running up to 50,000 GB200 NVL72 chips from Nvidia Corp. (NASDAQ:NVDA) on a unified network fabric. Beyond scale, the Abilene campus is also a model for energy-conscious AI infrastructure. It incorporates direct-to-chip liquid cooling to manage thermal loads and partners with Lancium's Clean Campus program to integrate renewable energy sources, Crusoe said. Crusoe expects the project to create over 5,000 jobs and generate more than $1 billion in local economic impact over the next two in 2018, Denver-based Crusoe began as a company converting stranded natural gas into energy for crypto mining. (TSXV: VEC.H) ("VEC" or the "Company"), announces that the Company's 2024 Annual General and Special Meeting of Shareholders (the "AGSM") will be held in-person at Suite 3123, 595 Burrard Street, Vancouver, BC V7X 1J1, on Thursday, June 26th, 2025 at 10:00 am Vancouver time. The Notice of Meeting, Management Information Circular and Form of Proxy related to the AGSM has been mailed to shareholders and can be found on the Company's website at and on SEDAR+ under VEC's issuer profile. At the Meeting, in addition to the regular annual business, shareholders will be asked to consider and approve a proposed debt settlement involving the issuance of 8,885,772 common shares at a deemed price of $0.16 per share to settle $1,421,724 in outstanding debt (the "Debt Settlement"), subject to TSX Venture Exchange approval. As the issuance exceeds 100% of the Company's current outstanding shares and will result in the creation of two new Control Persons, disinterested shareholder approval is required under Exchange policies. The Debt Settlement includes: Clive T. Johnson, director, to receive 3,341,856 shares in settlement of debt of $534,697, resulting in ownership of approximately 29.45% of the outstanding shares of the Company. Gordon Keep, director, through entities he controls, to receive 3,810,938 shares in settlement of debt of $609,750 (discounted by 25% from $813,000), resulting in ownership of approximately 29.34% of the outstanding shares of the Company. The debt settlements with Messrs. Johnson and Keep constitute related party transactions under MI 61-101 (the "Related Party Transactions"). The Related Party Transactions are exempt from the requirement to obtain a valuation in respect thereof under MI 61-101 pursuant to section 5.5(c) of MI 61-101 as the Company is not listed on specified markets. The Company is required to obtain minority shareholder approval for the Related Party Transactions pursuant to MI 61-101. Votes held by Messrs. Johnson, Keep, their affiliates, will be excluded from the votes.
