Banco BPM Raises Takeover Offer for Asset Manager Anima

(Bloomberg) -- Banco BPM SpA raised its bid for asset manager Anima Holding SpA, indicating that the Italy's third-largest bank is determined to win over investors as it seeks to defend from the takeover attempt of UniCredit SpA.

The Italian lender boosted its offer to €7 from €6.20 per share, according to a statement on Wednesday. The bank said it also received commitments to the offer from Poste Italiane SpA and FSI for a combined holding of 21% of the firm, adding to the 22% owned by Banco BPM.
Anima closed at €6.98 in the last trading session, giving the firm a market value of €2.23 billion.
In November, Banco BPM offered to buy the investment firm in an effort to strengthen its life insurance and asset management operations. The combined entity would have about €220 billion of assets under management and would lead to a 10% increase in Banco BPM earnings per share.
However, Banco BPM simultaneously faces an acquisition offer from UniCredit SpA, which launched the unsolicited bid a few weeks later. Banco BPM CEO Giuseppe Castagna has rebuffed to offer as too low.
UniCredit's hostile move on Banco BPM has triggered a wave of takeover activity across the Italian banking sector. Banca Monte dei Paschi di Siena SpA last month launched an offer for competitor Mediobanca SpA, while last week BPER Banca SpA launched an all-stock takeover bid for Banca Popolare di Sondrio SpA.
Banco BPM Strategy
The UniCredit move has made it more difficult for Banco BPM to pursue Anima. Italian takeover laws impose sweeping restrictions on the strategic decisions that targets of a takeover approach can make.
In an effort to defend itself against the hostile bid by UniCredit, Banco BPM has separately announced an update of its business plan envisaging a shareholder distribution of more than €6 billion through 2027 and a cumulative net income of more than €7.7 billion over the period. The bank also reported net income for the fourth quarter that beat the average analyst estimate.
The strategy revamp that Banco BPM is exploring would still assume that the Anima takeover takes place, people familiar with the matter have said.
Banco BPM called a shareholder meeting to approve the bid increase and the possible waiver of some conditions originally stated, including the application of benefits from a favorable regulatory treatment for the purchase of asset managers by insurance companies owned by banks, known as the Danish Compromise.

China's exports rose 4.8% in May from a year earlier, a bit lower than expected, as shipments to the United States fell nearly 10%, according to data released Monday just hours ahead of another round of trade talks between the U.S. and China. Imports declined 3.4% year-on-year, leaving a trade surplus of $103.2 billion. China exported $28.8 billion to the United States in May, while its imports from the U.S. fell 7.4% to $10.8 billion, the report said. Still, trade slowed in May from an 8.1% jump in China's global exports in April. Many businesses had rushed orders to try to beat higher tariffs, even as some new import duties took effect or remained in place. Exports will likely rebound somewhat in June thanks to a 90-day suspension of most of the tariffs China and the U.S. imposed on each other in their escalating trade war. 'But with tariffs likely to remain elevated and Chinese manufacturers facing broader constraints on their ability to sustain rapid gains in global market share, we think export growth will slow further by year-end,' Zichun Huang of Capital Economics said in a report. Despite the tariffs truce, the rancor between Beijing and Washington has persisted, with angry exchanges over advanced semiconductors, 'rare earths' that are vital to many industries and visas for Chinese students at American universities. The next round of negotiations was due to take place later Monday in London, following a phone call last week between Trump and Chinese leader Xi Jinping. Other data released Monday highlight the pressure on the world's second largest economy from slowing exports, since China imports many of the components and materials needed for the goods it assembles for the world. But at the same time, China's own domestic markets are suffering. The government reported that consumer prices fell 0.1% in May, evidence of sluggish demand. The persisting deflation partly reflects lower food prices, economists said. Producer price deflation was worse, contracting 3.3% in May, its lowest level in almost two years, after falling 2.7% in April.

Meanwhile, the relative strength index confirms bullish momentum, but remains below its overbought threshold, providing ample room for further upside. Let's identify two key overhead areas on the S&P 500's chart and also locate major support levels to watch during potential retracements. The first key overhead area to track sits around 6,100. This area may provide resistance near a trendline that connects a series on peaks that formed on the chart between December and February just below the index's record high. Investors can project an upside target above the record high by using the bars pattern tool. When applying the analysis to the S&P 500's chart, we extract the steep move higher following the breakout from the descending broadening formation and reposition it from the pennant's breakout point. This projects a target of around 6,575, about 10% above Friday's close. During retracements, investors should initially watch the 5,770 level. The index could find support in this area near the low of the pennant pattern, which closely aligns with the 200-day moving average (MA) and a range of corresponding trading activity on the chart extending back to September last year. Finally, a close below this level could see the S&P 500 revisit lower support around 5,650. Those who invest in the index may seek buying opportunities in this region near the upward sloping 50-day MA and a horizontal line that links a series of price action on the chart between July and May.
