
Tax Matters – Timely for businesses to review their stamp duty position
The focus of such visits seems to lean towards auditing the taxpayers and collecting back taxes and penalties. The educational element is a little lacking. The IRB's right to collect stamp duty based on the legislation cannot be denied.
Historically, stamp duty was collected on a voluntary basis rather than through enforcement of tax laws. In the early days, you could stamp your documents at IRB offices, district offices or attest revenue stamps to documents and stamp impressed by means of a die.
The passive approach adopted in the past is no longer the approach taken by the IRB. Now, the approach is being more proactive in ensuring the law is complied with and enforced.
Taxpayers can no longer wait for the authorities to come. Since stamp duty is applicable on all written instruments covered in the Stamp Act, it is timely for you to review the documents and if necessary have them stamped and pay the taxes together with the late payment penalties.
Where are the likely problems?
You have got to first determine the documents that need to be stamped and the documents that do not need to be stamped. If a document needs to be stamped, then you must classify the instrument and determine what the quantum of the stamp duty is to be paid. This is where the problem starts.
An example of an ambiguity is the difficulty in determining whether payment for a lease is rental or premium. This will be largely dependent on the wording used in the document. As opposed to income tax and other legislation, the issue of the actual conduct of the parties to the transaction versus the legal documentation is not present in the Stamp Act. The Stamp Act focuses primarily on the written documentation.
A common example where there will be differences of opinion between the IRB and the taxpayer is whether the instrument should be classified as an agreement under Item 4 of the First Schedule (RM10) versus other categories in which the stamp duty rates can differ, such as Item 22 in the case of contracts for services (1% of the contract value), or Item 32 for agreements for conveyances or sales (1% to 4% of the either the selling price or the market value of the property, whichever is greater).
Another example would be that sometimes there is difficulty in deciding instruments that merely record the intention of the parties with values mentioned in the document, versus the document being interpreted as a loan document. The stamp duty here could be either RM10 or could fall under Item 22, which could either be 0.5% or 1% of the amount mentioned in the document.
The latest problem taxpayers will be facing is the absence of human interaction when dealing with the Stamp Office. It has become mechanical because of the use of the STAMPS portal and the sudden appearance of large assessments will be a shock to taxpayers.
The way forward
Since stamp duty can trigger significant liabilities, it should not be relegated below the other taxes. It is also important that taxpayers should determine their stamp duty position at the time they are drawing up the documents. Taxpayers should do the proper stamp duty planning within the confines of the law.

KOTA KINABALU: The government should rescind its move to tax the fundraising activities of community organisations and associations, says Datuk Yong Teck Lee. The Sabah Progressive Party (SAPP) president said the funds raised by organisations and associations and other voluntary bodies were badly needed for the associations' own activities and needs. "The new tax rule is also causing confusion, distress and anxiety to society and community leaders," the former Sabah chief minister said in a statement Wednesday (Aug 6). Yong was referring to Practice Note 1/2025, issued on March 24 by the Inland Revenue Board (LHDN), that extended the definition of taxable person as a "body of persons" that includes community associations. Yong agreed with Federation of Sabah Chinese Associations representative Tan Sri TC Goh, who said that the new tax will create an unnecessary burden for thousands of NGOs nationwide as such funds raised were only used for activities such as community programmes and not for commercial purposes. Yong feared that non-compliance could expose community leaders to criminal charges of tax evasion as many associations and NGOs could not afford professional services of accountants or auditors. "Adding to the burden of yet another new tax is the scary hazard of having to comply with new tax regulations because any misstep, mistake or non-compliance, however unintended, could expose the association leaders to criminal charges of tax evasion," he said. Yong said that it was a fact that most association leaders consist mainly of selfless people who spend their own time and money on social and community service. "Community fundraising itself is already a very arduous task, with community leaders literally having to beg sponsors. "The community leaders and sponsors are the same ordinary business people who have recently been hit by SST (Sales and Services tax), e-invoicing on all transactions and stamp duties on employment contracts," he said. "Our elected representatives and ministers who have been accorded VIP treatment at association functions should speak up and do something before even more damage is inflicted on community organisations and the welfare of society," Yong urged.

Second day of tax grievances: Lim joins Wee in flagging refund delays
KUALA LUMPUR: The issue of delayed tax refunds was raised for the second consecutive day in Parliament, with former finance minister Lim Guan Eng highlighting refund backlogs and unreasonable Inland Revenue Board (LHDN) assessments as key concerns for taxpayers. Lim, who is the Bagan member of parliament, said taxpayers were questioning why they had not received their refunds within the stipulated 30-day period. "Some companies have even reported having to wait more than three years to get their tax refunds. What is the total amount of outstanding tax overpayments?" he asked. Lim added that taxpayers often complained of being pressured by unreasonable assessments issued by the LHDN. He also raised concerns over enforcement of transfer pricing regulations, saying unclear procedures had led to confusion, particularly over recent requirements for companies to impose interest on funds transferred to subsidiaries, which are then deemed taxable income. On Tuesday, Datuk Seri Dr Wee Ka Siong called for the LHDN to be restructured as an independent statutory body that reports to Parliament, rather than remaining under the Finance Ministry. Wee, the MP for Ayer Hitam, said LHDN must not be seen as a political tool and should not follow the dictates of the executive, regardless of who is in power. He also highlighted growing frustration among small and medium enterprises (SMEs), citing an increase in complaints over delayed tax refunds. "This creates the perception that the government is borrowing the people's money without interest," Wee said, pointing to a case where a taxpayer who applied for a RM13,000 refund was offered only RM650, with the balance to be paid over four years. Meanwhile, Lim called for the establishment of a special Taxpayer Tribunal to protect individuals and small and medium-sized enterprises (SMEs) from alleged unfair treatment by the LHDN. There was growing complaints from taxpayers claiming they were pressured by questionable tax assessments and enforcement actions, including bank accounts being frozen without clear justification, he said. He said that while LHDN's efforts to boost government revenue were commendable, these must be balanced with fair and reasonable enforcement. "While we appreciate the board's efforts to increase national revenue, it must be balanced with fair and reasonable treatment to avoid arbitrary actions," he said when debating the 13th Malaysia Plan in the Dewan Rakyat today. "I propose the formation of a special taxpayer tribunal to protect individuals and SMEs from feeling that they are being treated unfairly, victimised, or subjected to double standards in enforcement," Lim added.

Aidilfitri Madani events cost RM10mil, Parliament told
KUALA LUMPUR: The Federal Government spent over RM10mil each year on the Aidilfitri Madani celebrations held across seven states in 2024 and 2025, says Deputy Prime Minister Datuk Seri Fadillah Yusof. In a parliamentary written reply dated Aug 5, Fadillah said the 2024 celebrations cost RM10,050,196.66 in total — averaging RM1.43mil per state — while the 2025 events amounted to RM10,928,222.53, or roughly RM1.56mil per location. The Aidilfitri Madani events have been held on a broader scale nationwide since 2023, compared to the 2022 open house, which was limited to the Klang Valley and incurred a higher cost of RM11mil. Fadillah also confirmed that no financial contributions were received from the private sector or government-linked companies (GLCs) for the 2024 and 2025 celebrations. All expenses were fully borne by the federal government as part of its social investment under the Malaysia Madani framework. 'These programmes aim to strengthen ties between the government and the people and to foster a spirit of unity and inclusiveness,' he said in response to Abdul Latiff Abdul Rahman (PN–Kuala Krai), who had requested a breakdown of spending for the Aidilfitri Madani events, including logistics, catering, promotions, and private sector involvement. Fadillah explained that the events serve not only as festive gatherings but also as platforms to promote national unity, harmony, and cross-cultural understanding. As large-scale events held across multiple states, the celebrations required spending on essentials such as logistics, open-access public feasts, and promotional activities to encourage widespread community participation. 'All expenditure was managed prudently and transparently in line with existing financial procedures,' he said.
