Sothema Acquires Soludia Maghreb in MAD 1 Billion Deal

Marrakech – Pharmaceutical group Sothema, led by CEO Lamia Tazi, has finalized an agreement to acquire 99.99% of Soludia Maghreb's capital, valued at nearly MAD 1 billion ($100 million).
The deal was reached with Soludia's historical shareholders: Abdelaziz Razkaoui, Cap Mezzanine III fund managed by CDG Invest Growth, and the Zine family.
Founded in 1996, Soludia Maghreb has established itself as a leading industrial player in hemodialysis in Morocco. The company manufactures essential hemodialysis products, including powdered bicarbonate cartridges and liquid acid and bicarbonate solutions.
Soludia also distributes pharmaceutical specialties for international partners and holds 40% of Hidropura Maroc, a company specializing in the installation and maintenance of acid plants and water treatment systems for hemodialysis centers.
According to 2025 projections, Soludia is expected to generate revenue of MAD 360 million ($36 million) and an adjusted EBITDA of MAD 90 million ($9 million), excluding post-acquisition synergies.
An additional price of MAD 95 million ($9.5 million) may be paid, contingent on meeting specific financial objectives.
As part of the agreement, Abdelaziz Razkaoui will continue to serve as Soludia's CEO for a minimum period of five years, ensuring management continuity.
Razkaoui and CDG Invest Growth chose to convert 80% of their shares in Soludia into Sothema shares instead of opting for a cash payment – a move that reflects their confidence in the group's long-term vision and leadership.
The remaining cash payment amounts to approximately MAD 365 million ($36.5 million). Sothema has confirmed that no capital increase will be necessary to finance this transaction.
A bold advance in Sothema's industrial strategy
With this acquisition, Sothema estimates its 2025 consolidated revenue at about MAD 3.5 billion ($350 million) and consolidated EBITDA exceeding MAD 800 million ($80 million).
This strategic acquisition represents a bold advance in Sothema's industrial strategy, reinforcing its therapeutic portfolio in a sector regarded as critical to public health, according to their press release.
The deal aims to enhance national industrial capabilities in hemodialysis, expand Sothema's therapeutic portfolio in a segment with high public health impact, and increase Soludia's competitiveness in international markets, particularly in West Africa and the Middle East.
Established in 1976, Sothema is a key player in the Moroccan pharmaceutical industry. The group has partnerships with around forty leading international R&D laboratories and develops its own ranges of generics, biosimilars, and medical devices, with an extensive presence across Africa and the Arab world.

'In a spirit of solidarity and shared development, Morocco continues, under the wise leadership of His Majesty King Mohammed VI, to provide concrete support to landlocked African countries through strengthening South-South and triangular development projects, effectively contributing to improving the livelihood of beneficiaries and strengthening their development capacities,' Kayouh emphasized during the plenary session of delegations participating in the 3rd United Nations Conference on Landlocked Developing Countries, held until August 8. This commitment has been reflected through several initiatives, notably the Royal Initiative aimed at granting Atlantic Ocean access to Sahel countries, he noted, recalling that this initiative eyes a new framework for cooperation and joint development, by sharing Moroccan experience in infrastructure. This initiative is part of the Royal vision for a united, stable, and prosperous Africa and constitutes a strategic lever for the economic transformation of the Sahel countries by strengthening their strategic independence and promoting their great potential, he said, adding that it is also a great opportunity to integrate these countries into global value chains, thus opening up new prospects for growth and human, social, and economic development for Africa. This Moroccan approach to cooperation also tasks shape in several pioneering initiatives, such as the revitalization of the three Climate Commissions launched in 2016 at the African Action Summit, the Climate Change Competence Center, the Adaptation of African Agriculture to Climate Change (AAA) initiative, the initiative for Sustainability, Stability and Security in Africa (SSS), and the African Youth Climate Hub, he said. The minister further expressed Morocco's welcoming of the adoption of the new Awaza Action Plan for the decade 2024-2034, which reflects a collective commitment to strengthening landlocked developing countries' international cooperation in connectivity, energy transition, and economic flexibility. This conference stands as a crucial step in the development process of landlocked countries, ten years after the adoption of the Vienna Program of Action, according to the minister, with a view to assess progress made, commit to engage in strong partnerships and renew international support for the specific needs of these countries amidst a global context marred by multiple crises and growing tensions, he concluded. Morocco is represented at this event by a delegation led by minister Kayouh, including Morocco's Permanent Representative to the UN Omar Hilale, the Kingdom's Ambassador to the Republics of Kazakhstan, Tajikistan, Turkmenistan, and Kyrgyzstan Mohamed Rachid Maaninou, as well as several diplomats and officials from the Ministry of Transport and Logistics. A total of 2,789,197 members of the Moroccan diaspora had entered the country as of August 4, representing a 10.37% increase compared to 2024, announced Omar Moussa Abdellah, project manager and supervisor of the Marhaba operation at the Mohammed V Foundation for Solidarity, on Tuesday. Speaking on the «Obour» program on Radio Tanger Med, Moussa Abdellah stated that the number of vehicles entering Moroccan territory since the launch of the Marhaba operation on June 10 through August 4 reached 838,360, marking an increase of nearly 3.74%. He emphasized that these figures demonstrate a steady rise in arrivals of Moroccans living abroad through various border points this summer, countering unfounded rumors of a decline. He added that «the Marhaba 2025 operation is running exceptionally well and smoothly on all fronts». In this regard, he noted that Tanger Med Port alone accounted for 555,753 arrivals and 175,808 vehicles, representing 35.87% of total entries by sea and land. Meanwhile, Mohammed V Airport in Casablanca ranked first among air entry points, welcoming 320,395 arrivals, which represents 25% of all air entries by Moroccans living abroad. On the support side, Moussa Abdellah explained that the Foundation's teams stationed at border crossings and rest areas had provided a total of 45,465 services, including 2,858 medical interventions. These included emergency transport for about 50 cases to hospitals and assistance to more than 800 travelers facing vehicle breakdowns or other difficulties. For his part, Jaafar Ameyer, Director of the Tanger Med Passenger Port, reaffirmed that the port serves as «the main gateway for Moroccans residing abroad», noting that the number of arriving passengers and vehicles has grown by 6% and 4%, respectively, under the Marhaba 2025 operation. He also highlighted that port authorities, in coordination with various stakeholders, have implemented a range of measures to facilitate smoother transit through Tanger Med. This includes reduced processing times for customs and border procedures, thanks to the continuous mobilization of the General Directorate of National Security (DGSN), the Customs and Indirect Tax Administration (ADII), and local authorities.

Royal Jordanian to Launch Direct Amman-Casablanca Flights in October

Marrakech – Royal Jordanian Airlines will begin operating regular direct flights between Amman and Casablanca starting mid-October, announced Jordanian Ambassador to Morocco Jumana Ghunaimat. The new air route aims to strengthen cooperation between the two kingdoms while supporting travel, tourism, and trade exchange. It will also reinforce cultural and economic ties between Jordan and Morocco. 'This direct flight represents a major step in consolidating bilateral relations,' Ghunaimat stated in a press declaration. The ambassador noted that the route will reduce travel time to approximately five hours, facilitating movement for travelers and businesspeople between both countries. Royal Jordanian, established in 1963 as Jordan's national carrier, currently operates a fleet of 26 aircraft serving 45 destinations worldwide from its hub at Queen Alia International Airport.
