TORONTO, March 25, 2025 (GLOBE NEWSWIRE) -- Optiva Inc. ('Optiva' or 'the Company') (TSX:OPT), a leader in powering the telecom industry with cloud-native billing, charging and revenue management software on private and public clouds, today released its fourth quarter financial results for the three-month and full-year period ended December 31, 2024.
In the fourth quarter, Optiva was selected by one new customer for a total of five new customers in 2024. Additionally, five existing customers chose Optiva for upgrades, renewals and partnership expansions. These included an upgrade and migration of Optiva Charging Engine to private cloud, as well as an upgrade of Optiva Charging Engine to a cloud-native, 5G-enabled platform with enhanced monetization capabilities. Another customer extended its partnership with Optiva to incorporate Optiva BSS Platform for multiplay services. Furthermore, a customer expanded its existing partnership to implement Optiva's latest state-of-the-art Application Server.
Additionally, in the fourth quarter, Optiva announced that its BSS platform and charging engine now incorporate agentic AI using advanced generative AI (GenAI) technology powered by Google's Gemini models. Additionally, Optiva was selected as a nominee for the TM Forum Excellence Awards for Excellence in Data & AI Innovation.
Optiva accomplished many of its business objectives for 2024, including customer retention, increased bookings and successful cloud upgrades and transformations. The market acknowledged these accomplishments, evidenced by a 20% increase in meeting traffic at Mobile World Congress 2025, building on a strong showing in 2024. Both new and existing customers were attracted to Optiva's demonstrations of agentic AI, API monetization capabilities and MVNO hubs strategy.
'Optiva MNVO Hubs are particularly appealing to MVNEs and larger MVNOs where we can deliver our best-of-suite BSS in a multi-tenant hub environment rapidly at a competitive price. Operators recognize that a fully digital BSS is crucial for achieving the ultra-low operating costs necessary in today's competitive landscape,' said Robert Stabile, Chief Executive Officer of Optiva.
Optiva's PIK Toggle Notes mature on July 25, 2025, and the Special Committee of the board has been engaged with key noteholders about refinancing options. In addition, as part of its mandate, the Committee is actively engaged with third parties to assess strategic alternatives to optimize outcomes for the business and our customers.

Revenue for Q4'24 was $12.0 million. On a year-over-year basis, the change by revenue type included a $0.4 million increase in support and subscription revenue and a $0.4 million decrease in software and services revenue. The increase in support and subscription in the period mainly relates to the support revenue from new customers in the Americas. The year-over-year decrease in software and services revenue reflects fewer software implementations in the period.
Gross margin for Q4'24 was 59% compared to 63% during the same period in 2023. The decline in gross margin is primarily attributable to customizations with lower margins ordered by customers that required fulfillment, compared to the previous period. We expect our gross margins may fluctuate as our cloud-native model and product capabilities are adopted by new and existing customers in the public or private cloud in future periods.
General and administrative expenses ('G&A') decreased to $2.7 million compared to $3.1 million during the same period in 2023. The decrease is mainly due to lower share-based compensation. Excluding the share-based compensation, amortization and depreciation, G&A expenses remained the same at $3.0 million or 25% of total revenue for the three months ended December 31, 2024 and 2023.
Adjusted Earnings before interest, taxes, depreciation and amortization ("EBITDA")1 for Q4 remained the same at a loss of $1.8 million as compared to loss of $1.8 million during the same period in 2023.
Net loss for Q4 was $4.7 million compared to a net loss of $4.0 million during the same period in 2023. The net loss for the three months ended December 31, 2024, was higher mainly due to the foreign exchange loss during the period compared to a gain last year.
The Company ended the fourth quarter with a cash balance of $11.1 million (including restricted cash).
(1) EBITDA, Adjusted EBITDA, TCV and adjusted EPS are non-IFRS measures. These measures are defined in the "Non-IFRS Financial Measures" section of this news release.
Non-IFRS Measures
'EBITDA" and "Adjusted EBITDA" are not financial measures calculated and presented in accordance with International Financial Reporting Standards (IFRS) and should not be considered in isolation or as a substitute to net income (loss), operating income or any other financial measures of performance calculated and presented in accordance with IFRS, or as an alternative to cash flow from operating activities as a measure of liquidity. The Company defines EBITDA as net income (loss) excluding amounts for depreciation and amortization, other income, finance costs, finance income, income tax expense (recovery), foreign exchange gain (loss) and share-based compensation. The Company defines "Adjusted EBITDA" as EBITDA (as defined above), excluding restructuring costs, one-time provision amounts and other one-time unusual items. The Company believes that Adjusted EBITDA is a metric that investors may find useful in understanding the Company's financial position. The following table provides a reconciliation of Net Income to EBITDA and Adjusted EBITDA (in thousands of U.S. dollars).

Caution Concerning Forward-Looking Statement
Certain statements in this document may constitute "forward-looking" statements that involve known and unknown risks, uncertainties and other factors that may cause our actual results, performance or achievements or industry results to be materially different from any future results, performance or achievements expressed or implied by such forward-looking statements. When used in this document, such statements use such words as "may," "will," "expect," "continue," "believe," "plan," "intend," "would," "could," "should," "anticipate" and other similar terminology. Forward-looking statements in this document include statements regarding the Company's "qualified pipeline", the TCV of the qualified pipeline and the Company's expectations regarding future revenues.
We draw your attention to the "Risks and Uncertainties" section of the Company's management's discussion and analysis for the quarter ended December 31, 2024, and to note 2 of our consolidated financial statements which indicate the existence of material uncertainty that may cast significant doubt on the Company's ability to continue as a going concern. The Company had a working capital deficit (current assets less current liabilities) of $94.8 million as at December 31, 2024 (December 31, 2023 – working capital of $27.8 million), reflecting the reclassification of 9.75% secured PIK toggle debentures due July 20, 2025 (the 'Debentures'), from non-current to current liabilities. The Debentures in the amount of $103.5 million as of December 31, 2024, have a maturity date of July 20, 2025. Based on the cash balance as of December 31, 2024 and the forecasted cash flows from operations to the Debentures maturity date on July 20, 2025, the Company expects to have insufficient cash to meet its obligations upon maturity of the Debentures in July 2025. The Company's board of directors has formed a Special Committee that is in active discussions with key Debenture holders regarding refinancing options. The Company's ability to continue its operations is dependent upon its ability to refinance this debt or implement other financial alternatives, including other sources of financing through debt or equity, however there is no assurance that this will be successful. These factors indicate the existence of a material uncertainty that may cast significant doubt on the Company's ability to continue as a going concern.
These statements are forward-looking as they are based on our current expectations, as at March 25, 2025, about our business and the markets we operate in and on various estimates and assumptions. Our actual results could materially differ from our expectations if known or unknown risks affect our business or if our estimates or assumptions turn out to be inaccurate. As a result, there is no assurance that any forward-looking statements will materialize. Risks that could cause our results to differ materially from our current expectations include the risk that the Company will not secure contracts with customers that are included in its qualified pipeline, the risk that existing customers may decrease their spend with the Company and other risks that are discussed in the Company's most recent Annual Information Form, available on SEDAR at www.sedar.com and Optiva's website at www.optiva.com/investors/. Other unknown or unpredictable factors or underlying assumptions subsequently proving to be incorrect could cause actual results to differ materially from those in the forward-looking statements. Optiva does not undertake or accept any obligation or undertaking to release publicly any updates or revisions to any forward-looking statements to reflect any change in its expectations or any change in events, conditions or circumstances on which any such statement is based, except as required by law.

LayerX collaborates with Google Chrome Enterprise to further protect enterprises' extension security
MOUNTAIN VIEW, Calif., July 31, 2025 (GLOBE NEWSWIRE) -- LayerX Security, the leader in protecting organizations against malicious browser extensions, has integrated its industry-leading extension risk scoring directly into Chrome for Enterprises. This new integration will enable Chrome Enterprise customers to get real-time visibility of the threat profile of every Chrome extension installed in their environment and restrict risky extensions. For each extension, LayerX's proprietary algorithms analyze a wide range of details, including extensions' access permissions, publisher information, usage, and more. Moreover, LayerX uses innovative techniques to identify malicious code in browser extensions. Enterprises use LayerX's technology to assess the threat posed by each extension and take remediation actions to block risky or malicious ones. As browsers increasingly serve as the operating system for work, the security posture of browser extensions has never been more important. Extensions play a central role in productivity and workflow customization for most enterprise users. According to the LayerX 2025 Enterprise Browser Extension Security Report, browser extensions are widely used across almost all enterprise users: a full 99% of enterprise users have at least one browser extension installed in their browser, and 53% of enterprise users have more than ten browser extensions. One of the evolving challenges is that, while extensions deliver tremendous value, their powerful capabilities often require broad permissions to deliver their intended functionality. LayerX's research finds that over half of extensions installed in enterprise environments require 'High' or 'Critical' level access, and more than one in ten can access user cookies. This underscores the need for thoughtful governance and transparency to protect sensitive business data, support compliance, and maintain user trust without restricting the flexibility that makes extensions so useful. Another factor shaping this landscape is the diversity and reach of the extension developer ecosystem. According to LayerX data, most extension developers have published only a single extension. This diversity drives innovation, but also highlights the need for enterprise-grade visibility and risk assessment tools, helping organizations make informed security decisions. This is exactly where the new collaboration between Google and LayerX comes in: LayerX's extension risk scoring data helps organizations understand the risks associated with each extension, assess the reputation of its publisher, and decide whether this extension should be allowed or disallowed - all within a single, holistic risk score. As part of the collaboration, LayerX's risk scores will now be integrated into the management dashboard of Chrome Enterprise, providing detailed risk assessment for every extension. Whenever an organization examines the extensions installed in users' Chrome browsers, the overall risk score of each extension will be displayed directly in the Chrome Enterprise dashboard. Customers can then get a detailed drill-down through the LayerX ExtensionPedia, with full extension technical details, publisher information, and in-depth risk scoring. "Chrome Enterprise and LayerX are both committed to bringing businesses the most secure browsing experience, without impacting how users get their work done,' says Or Eshed, co-founder and CEO of LayerX. 'For customers, this collaboration offers unmatched 'better together' benefits for browser security, bringing together the industry's best browser with the industry's best browser protection.' The browser extension risk scores by LayerX are available immediately to all Chrome Enterprise customers. Users can also use the LayerX ExtensionPedia, the Browser Extension Risk Database and Knowledge Center, which is freely available to all users. About LayerXLayerX is the leading provider of browser security solutions that protect enterprise data in the modern work environment. Purpose-built to secure SaaS access, GenAI usage, and browser-based workflows, LayerX enables enterprises to gain granular visibility and control at the point of risk: the browser. Meet the Unstoppable Stock That Could Join Nvidia, Microsoft, and Apple in the $3 Trillion Club
Key Points Nine American companies are currently worth $1 trillion or more, but just three have graduated into the $3 trillion club. Alphabet owns businesses like Google Search and Google Cloud, where revenue growth is currently accelerating thanks to artificial intelligence (AI). Alphabet stock is trading at a very attractive valuation, which sets the stage for a potential move into the $3 trillion club. 10 stocks we like better than Alphabet › The U.S. is home to nine companies with market capitalizations of $1 trillion or more, but only three have surpassed the ultra-exclusive $3 trillion milestone: Nvidia: $4.2 trillion Microsoft: $3.8 trillion Apple: $3.2 trillion I think another might be set to join them. Alphabet (NASDAQ: GOOG) (NASDAQ: GOOGL) is the parent company of Google, and it's fast becoming a leader in the artificial intelligence (AI) race. The company had a market capitalization of $2.3 trillion as of market close on July 25, but its recent financial results and the valuation of its stock might support a move into the $3 trillion club in the near future. If Alphabet does cross the exclusive milestone, investors who buy its stock today could earn a return of over 30%. AI is reshaping Google Search Google Search is Alphabet's most important business, because it consistently represents more than half of the tech conglomerate's total revenue. A few years ago, investors were worried AI chatbots like OpenAI's ChatGPT would filter traffic away from Google Search, hampering its ability to generate revenue through advertising. But it seems those concerns were overblown. Google Search generated a record $54.2 billion in revenue during the second quarter of 2025 (ended June 30), which was up 11.7% compared to the year-ago period. That marked an acceleration from its first-quarter growth of 9.8%, which suggests the search business is gathering momentum. AI is a big reason why. Alphabet developed its own family of large language models (LLMs) called Gemini, and it used them to create a new Google Search feature called AI Overviews. They use text, images, and links to third-party sources to craft complete responses to queries, saving users from having to sift through web pages to find the information they need. This creates a far more convenient experience. Alphabet said 2 billion people were using AI Overviews every month during the second quarter, and since they monetize at the same rate as traditional Google Search results, they aren't cannibalizing the company's core business. Overviews are also driving higher Google Search usage, because they encourage users to refine their queries to generate the most accurate outputs. Alphabet also launched a stand-alone AI chatbot called Gemini to capture traffic from users who prefer to seek information that way. Moreover, the company just rolled out "AI Mode" for Google Search, which introduces a chatbot-style interface to the traditional search experience. Alphabet hopes these tools will keep users within Google's ecosystem, and stop them from experimenting with the competition. Google Cloud revenue growth is also accelerating Google Cloud is consistently Alphabet's fastest-growing business, and the second quarter was no exception. The segment generated a record $13.6 billion in revenue, which was up by a whopping 32% year over year. That marked an acceleration from the first quarter, when revenue grew by 28%. AI is driving that momentum. Google Cloud operates industry-leading data centers fitted with powerful AI graphics processors (GPUs) from Nvidia, and also tensor processors (TPUs), which it designed in-house. This optionality makes the Google Cloud platform attractive to AI developers of all sizes, which is why nearly all AI unicorns (AI start-ups worth $1 billion or more) are using it. Google Cloud also offers access to hundreds of ready-made LLMs, including Gemini, which developers can use to create AI software much faster than if they had to train their own models from scratch. Alphabet said more than 85,000 enterprises are now building AI applications with Gemini models, resulting in a staggering year-over-year increase in usage of 35 times during the second quarter. Alphabet CFO Anat Ashkenazi said Google Cloud's order backlog soared 38% year over year to a whopping $106 billion, which means demand for computing capacity continues to outstrip supply. To convert that backlog into revenue, the company needs to build more data centers, which is why it just increased its capital expenditures (capex) forecast for 2025 to $85 billion, from $75 billion previously. Alphabet's (mathematical) path to the $3 trillion club Alphabet's earnings per share (EPS) climbed by 22% year over year in the second quarter to come in at $2.31. The company's trailing-12-month EPS now stands at $9.39, which places its stock at a price-to-earnings (P/E) ratio of 20.6. That's a steep discount to the Nasdaq-100 technology index, which hosts all of Alphabet's big-tech peers, and trades at a P/E ratio of 32.5. It also makes Alphabet the cheapest stock in the "Magnificent Seven," a group of tech giants leading the way in different segments of the AI race. Alphabet stock would have to soar by 83% just to trade in line with the median P/E ratio of the Magnificent Seven stocks (37.8), which would catapult its market cap to $4.2 trillion. Even if its stock climbed by 58% so its P/E matched that of the Nasdaq-100, it would still be enough to push the company's valuation way above $3 trillion. One thing suppressing Alphabet's P/E ratio right now is the ongoing legal battle with the U.S. Department of Justice (DOJ). The agency won a lawsuit last year that determined Alphabet used monopolistic practices to protect its market share in the internet search industry. For example, the company was paying Apple handsome annual fees to make Google the default search engine on devices like the iPhone, making it nearly impossible for competitors to make inroads. A judge is expected to hand down Alphabet's punishment in August. It could be a simple financial penalty, or the company might be forced to sell parts of its business to level the competitive playing field. Any remedy that diminishes the dominance of Google Search could harm Alphabet's earnings potential, which is why investors are tentative. However, there is likely to be a lengthy appeals process, which could tie the matter up in court for several more years. In the here-and-now, I think Alphabet stock is a bargain based on its incredible progress in the AI space alone, especially as it relates to Google Cloud, which isn't facing regulatory scrutiny right now. As a result, I think Alphabet has a pathway to the $3 trillion club in the next year or so, irrespective of the legal overhang. Should you buy stock in Alphabet right now?
