Mediobanca may speed up Banca Generali bid vote to fend off MPS

MILAN, July 31 (Reuters) - Italy's Mediobanca (MDBI.MI), opens new tab said on Thursday it could bring forward a shareholder vote on its bid for Banca Generali (BGN.MI), opens new tab, which it proposed in April to gain size and ward off a hostile takeover offer from Banca Monte dei Paschi di Siena (MPS) (BMPS.MI), opens new tab.
Mediobanca, which last month unveiled a plan to return 4.9 billion euros ($5.6 billion) to shareholders over the next three years, said it was ready to launch a new 400 million euro tranche of its share buyback programme. It also reported on Thursday a 4% rise in full-year profit and record high revenue, in line with expectations.
In January, MPS announced a surprise all-share offer for larger rival Mediobanca, adding to sweeping consolidation in Italy's banking sector. Mediobanca sought to protect itself from a takeover in April by proposing to acquire private bank Banca Generali from top Italian insurer Generali (GASI.MI), opens new tab, with the aim of becoming too large a target.
Mediobanca said on Thursday it expected the regulatory process for its acquisition of Banca Generali to be completed by August 18 and aimed to hold a shareholders vote on the offer on August 21, ahead of the September 8 deadline for MPS' offer.
"It is important to submit the deal to our shareholders before [the end of the MPS' offer] because that allows them to assess all the available options," CEO Alberto Nagel told a media call.
Last month, Mediobanca was forced to delay the shareholder vote on its Banca Generali bid to September 25 to avoid a possible defeat after some investors opposing the deal increased their holdings and others asked for more details on a distribution agreement with Generali integral to the deal.
Mediobanca said it had sent Generali a proposal to begin talks on the distribution agreement and said it would decide by August 6 on whether to bring the Banca Generali bid vote forward depending on how discussions progress. Generali's board meets on August 6.
"We do not expect to sign any agreement next week, but rather to find out whether our proposal has been given the green light" by Generali, Nagel said.
Mediobanca reported a net profit of 1.3 billion euros, up 4%, for its 2025 fiscal year, which runs from July to June, and revenue at a new record high of 3.7 billion euros, up 3%. Both figures were broadly in line with an analysts' consensus provided by the bank.

Meanwhile, their issues in between the posts continued, with Altay Bayindir at the centre of a debate on Monday after his error for Riccardo Calafiori's goal. ‌ Thankfully, there are still two weeks left of the summer transfer window for Ruben Amorim and his staff to address some of those issues. The problem for United is that they need to sell some of their unwanted players first before they can bring in more reinforcements. ‌ Unfortunately, there are many moving parts as they try to find new homes for the bomb squad players who have been exiled by Amorim. Here is the latest on those exits – and who could come in. Hojlund exit complicated Rasmus Hojlund was conspicuous through his absence on Sunday as we got a look at United's new-look forward line. Hojlund was left out of the squad entirely by Amorim and the club are now hoping to sell him before the window closes. They are willing to take a significant hit on the £72million they paid Atalanta a few years ago for his services. And yet things are not that simple, with AC Milan keen but not that keen. United want around £35m for the young Danish striker, but would also consider a loan at this late stage of the window. Milan, however, have Juventus ' Dusan Vlahovic as their top target, although those negotiations have reached a stalemate. Everything is up in the air, as Milan sporting director Igli Tare said: 'Hojlund is a good option for us. We are thinking about him, but in the transfer market, you never know what could happen.' Sancho and Garnacho delays Jadon Sancho is another player United are desperate to get rid of, but his £250,000-a-week wages are proving problematic. After moves to Juventus and Fenerbahce fell through, it is now the turn of Roma to get frustrated. ‌ The Italian club are threatening to pull out of a deal for the winger, despite agreeing a loan with an obligation to buy. Fabrizio Romano has reported that Sancho has informed Roma he is exploring other options. He has reportedly said no to Besiktas, where there would be a reunion with Ole Gunnar Solskjaer, and the situation looks set to run until the end of the window. Meanwhile, Alejandro Garnacho also remains a United player. Chelsea are keen on the winger, but need to first sell Christopher Nkunku to Bayern Munich. The German side have failed with a loan bid for Nkunku because the Blues want a permanent deal so they can sign either Garnacho or Xavi Simons from RB Leipzig. Utd urged to hijack Donnarumma deal Gianluigi Donnarumma has reportedly agreed terms with Manchester City and is now waiting for Ederson to move to Galatasaray. However, Bayindir's shocker on Sunday, and Andre Onana's general struggles at United, have raised the prospect of Donnarumma moving to a different part of Manchester. United enquired earlier in the summer about Donnarumma and Wayne Rooney believes they should try to hijack City's move. He said on his podcast: "Donnarumma, I think he's 26, he's one of the best goalkeepers in the world, it would be crazy if Man United don't go for him."

Mediobanca had originally scheduled the vote for June but had to push it back as the proposal lacked sufficient support. Meanwhile, state-backed Monte dei Paschi (MPS) is attempting to buy Mediobanca, amid a consolidation wave sweeping Italian banking. By cutting its MPS stake to below 12% from the 68% it acquired in a 2017 bailout, Rome has brought on board as leading MPS shareholders, Italy's billionaire Del Vecchio and Caltagirone families. To fend off the MPS bid, Mediobanca CEO Alberto Nagel, in April proposed buying Banca Generali, which is owned by Generali ( opens new tab, Italy's biggest insurer, whose key investors are Mediobanca, the Del Vecchios and the Caltagirones.
