VANCOUVER, BC, July 28, 2025 /CNW/ - Principal Technologies Inc. (the " Company" or " Principal") (TSXV: PTEC) (FWB: JO7) is pleased to announce that, further to its news release dated April 28, 2025, regarding the financing of its Licence of Technology Agreement (the " Licence") with Oxford University Innovation Limited, the Company announces it has arranged to complete the second round of financing (" Second Round") ahead of schedule. The Second Round was originally contemplated to occur in October 2025 and to consist of the issuance of 1,248,000 common shares of the Company (" Common Shares") at a price of $0.50 per Common Share to raise proceeds of $624,000 (the " Proceeds"). The Company is now targeting to complete the Second Round by issuing an aggregate of 2,080,000 Common Shares within the next week at a price of $0.30 per Common Share (the " Issuance Price") to raise the Proceeds. The Issuance Price represents a 13% premium to market. The Second Round is fully allocated to a significant shareholder of the Company and no finder's fees are applicable. The proceeds of the Second Round are intended to be used to fulfill the research and development funding obligations of the Licence and for other general corporate purposes. The Common Shares to be issued in connection with the Second Round will be subject to the statutory hold period of four months from the date of issuance in accordance with applicable Canadian securities legislation. Completion of the Second Round is subject to the receipt of all requisite approvals, including the acceptance of the TSX Venture Exchange. Sale of MCF Energy Assets in Czechia
VANCOUVER, BC, July 28, 2025 /CNW/ - MCF Energy Ltd. (TSXV: MCF) (FRA: DC6) (OTCQX: MCFNF) is pleased to announce the sale of all of company assets in the Czech Republic to Third Source Energy ("TSE"). This transaction includes 100 percent of MCF Energy Ltd.'s ("MCF") Czech assets comprising the company's shareholding in Orionos Energy s.r.o., its subsidiary Lomenska Tezebni s.r.o., and all associated assets, licenses, and inventory. The total consideration for the transaction including a contingent royalty is C$6,478,000, comprised of a C$1,000,000 cash payment on completion, and a 10% gross overriding royalty ("GORR") on the portion of realized gas revenue using the Dutch Title Transfer Facility price in excess of USD $13.50 per mmbtu, applicable to future production from newly drilled wells, or deepened existing wells, on the licenses currently held by Orionos and Lomenska. The GORR is capped at US$4,000,000 (C$5,478,000). MCF Energy has a 'put option' for two years to sell the GORR to TSE for C$750,000. TSE has a 'call option' for two years to terminate the GORR by payment to the Company of C$1,500,000. The transaction between the Company and TSE was completed on July 25, 2025, which also terminated the management services agreement between the Company and TSE effective June 1, 2025. Birch Hill, Brookfield buying First National Financial in $2.9-billion deal
TORONTO – First National Financial Corp. says it has agreed to be sold in a roughly $2.9 billion deal. The mortgage firm says funds managed by Birch Hill Equity Partners Management Inc. and Brookfield Asset Management are the buyers though a newly-formed acquisition vehicle. First National Financial says founders Stephen Smith and Moray Tawse will each indirectly maintain about a 19 per cent interest in the company. It says the purchase price of $48 a share represents a 15.2 per cent premium to the average of the past 30 trading days and is above the 52-week high for the company, though it is below its peak of over $52 a share in 2021. First National Financial says the deal came after a strategic review and that it offers compelling value and liquidity to shareholders. Founders Smith and Tawse respectively hold about 37.4 per cent and 34 per cent of outstanding shares, of which they will sell about two-thirds to the buyers and exchange the rest into ownership interests.
