Reebok's US operation, shoe design group have a new owner

Galaxy will also be involved in running Reebok's business in the European Union and the United Kingdom, as a partner in a new joint venture with Batra Group. Authentic did not disclose the financial terms of either transaction in its announcement on Wednesday.
Authentic will still own the Reebok brand and related intellectual property, although the US employees now work for Galaxy, according to Steve Robaire, an executive vice president at Authentic. Reebok employs about 300 people at its headquarters in the Seaport, including Reebok's global design group — or roughly half the number who worked there when Adidas decided in 2016 to move the operation to Boston from Canton.
Longtime Reebok executive Todd Krinsky will remain in place as its president and CEO, a position he's held since the fall of 2022. Galaxy will operate the business in the US as a licensee with Authentic and also as a global supplier to Reebok licensees in international markets.
'The heart of the brand never left Boston,' Robaire said. 'None of that has changed. All of that has just transitioned from Sparc to Galaxy.'
Galaxy executives couldn't be reached for comment. In a prepared statement, Galaxy chief executive Eddie Esses said his company's focus will be to 'unleash Reebok's full potential and ensure we design and produce the best athletic shoes for customers worldwide.'

Robaire said the transfer should help position Reebok for more growth, by placing it with a company that specializes in footwear, instead of with a company — Sparc or its successor, Catalyst — that specializes in apparel.
'We really feel like, with Galaxy, we are really set up for significantly more growth both in the US market and also from around the world,' Robaire said.
Reebok suffered to some extent under 15 years of Adidas ownership because it was considered secondary to the German company's flagship brand. Robaire said that Reebok had annual retail sales of $3.6 billion when Authentic acquired the brand from Adidas, but that has since grown to around $5 billion a year. Authentic chief executive Jamie Salter has said he would like to see Reebok hit $10 billion in annual sales, a goal that Robaire believes is achievable within the next three or four years.
Toward that end, Reebok is getting back into the golf business, with a retail launch of a new golf shoe line, Nano Golf, within the next few weeks, and it's been making a bigger push in basketball, to augment Reebok's core focus on fitness and lifestyle shoes. Robaire also said Reebok expects to launch a line of cleated footwear soon.
'This first phase of growth [means] getting Reebok back out there,' said Robaire, who worked directly for Reebok before joining Authentic three years ago. 'Adidas had limited our ability to do that.'

Guess to go private in $1.4 billion deal with Authentic Brands, co-founders and CEO

Guess said on Wednesday it has agreed to be taken private by a group, including its co-founders, CEO and Reebok-owner Authentic Brands, in a deal valuing the designer apparel brand at $1.4 billion, including debt. As part of the transaction, co-founders Maurice Marciano and Paul Marciano, and CEO Carlos Alberini have partnered with Authentic Brands, which will acquire 51% of all Guess' intellectual property. Guess' existing shareholders will own the rest. Guess shareholders will receive $16.75 per share in cash, representing a 26% premium to Tuesday's close. Its shares jumped nearly 26% at $16.77 in early trading. They have lost about 38% over the last 12 months amid tough competition for consumer dollars and economic uncertainty. The deal is the latest in a wave of M&A activities among apparel and footwear companies, including 3G Capital's agreement to take Skechers private, Dick's Sporting Goods' announcement to acquire Foot Locker, and Authentic Brands' purchase of Dockers from Levi Strauss & Co earlier this year. Taking Guess private will provide the company with greater flexibility to navigate today's complex operating environment and pursue a more focused, long-term strategy, the company said. Prior to the deal announcement, its co-founders and CEO together owned roughly 40.18% of the company, with Paul Marciano holding 28%, according to data compiled by LSEG. Guess had received a $13-per-share take-private offer from brand management firm WHP Global in March. It had then formed a special committee to evaluate the proposal. "The special committee evaluated a number of potential options and unanimously determined that the transaction with Authentic and (existing shareholders) is the best path forward for Guess," said Alex Yemenidjian, chairman of the special committee.

The Guess? Board of Directors, with Paul Marciano and Carlos Alberini recusing themselves, unanimously approved the proposed transaction upon the unanimous recommendation of the Special Committee of independent and disinterested directors that led the review and negotiation of this transaction. The Rolling Stockholders have agreed to roll over their shares of common stock and incentive equity of Guess? in connection with, and vote their shares of common stock in favor of, the proposed merger and the other transactions contemplated by the Merger Agreement, with such voting obligation terminating if the Merger Agreement is validly terminated, including in connection with a 'superior proposal.' The transaction is not subject to a financing condition. The transaction will be financed through a combination of rollover equity by the Rolling Stockholders and cash commitments by Authentic. Under the terms of the Indenture, dated as of April 17, 2023, between Guess? and U.S. Bank Trust Company, National Association, as trustee, holders of Guess?'s 3.75% convertible senior notes due 2028 (the 'Convertible Notes') will have certain rights to cause the repurchase, redemption or conversion of their Convertible Notes in connection with the transaction. Guess? expects to pay a quarterly cash dividend of $0.225 cents per share through the closing of the transaction. Upon completion of the transaction, Guess?'s common stock will no longer be listed on any public market. UK inflation picks up to hotter-than-expected 3.8% in July

The U.K.'s annual inflation rate hit a hotter-than-expected 3.8%in July, according to data released by the Office for National Statistics (ONS) on Wednesday. Economists polled by Reuters had anticipated inflation would reach 3.7% in the twelve months to July, after it picked up to 3.6% in June, exceeding forecasts. July core inflation, which excludes more volatile energy, food, alcohol and tobacco prices, rose by an annual 3.8%, up from 3.7% in the twelve months to June. The latest data comes after the Bank of England earlier this month voted by a fine margin to cut interest rates from 4.25% to 4%, as the central bank resumed what it describes as a "gradual and careful" approach to monetary easing. While the BOE was widely expected to trim rates by 25 basis points at the time, traders and economists were keen to see the breakdown of support for the move. In the end, policymakers had to vote twice on the rate cut decision, and a majority of 5-4 opted to cut. BOE policy committee members have had to weigh up sticky inflation with a cooling jobs market and lackluster but slightly recovering growth. GDP data out last week showed a surprise 0.3% expansion in the second quarter. The BOE is watching inflation data closely, after forecasting the consumer price index will peak at 3.8% in September before retreating in the early half of 2026. In Deutsche Bank's estimates, Britain remains "a sliver away" from an annual inflation rate of 4%. "We expect price pressures to soften in the fourth quarter of 2025, however, tracking closer to 3.5% y-o-y [year-on-year] by year-end," Sanjay Raja, senior economist at the German lender, said in emailed comments Friday. "Moreover, we do expect price pressures to ease further next year. On our models, we have headline CPI slipping to just around 2.75% y-o-y in the second quarter of 2026, before landing closer to 2.25% y-o-y in the fourth quarter of 2026. Bigger picture, we think the road to achieving a 2% landing next year is narrowing. Indeed, we see more upside pressures building around our projections," he noted.
