Visionary Holdings Inc. Announces Court Ruling on Board Composition and Investigation
TORONTO, July 22, 2025 /CNW/ - Visionary Holdings Inc. (NASDAQ: GV) ("Visionary" or the "Company"), an Ontario-based corporation, today announced a significant court ruling from the Ontario Superior Court of Justice (Zhou v. Chen, 2025 ONSC 3648) dated June 19, 2025, addressing the composition of its Board of Directors and related governance matters. The Court ordered an investigation under section 161 of the Ontario Business Corporations Act to examine allegations of misconduct in the Company's affairs. The Court has restrained Fan Zhou from participating directly or indirectly in the management of Visionary pending the investigation's outcome or further court order, citing the risk of irreparable harm to the Company's reputation and potential legal actions. Additionally, 3888 Investment Group Limited, controlled by Zhou's daughter and holding purported Class B Common Shares with 97% voting power, is restrained from taking action to remove certain directors. The Board has been granted access to all Company records, including EDGAR, NASDAQ, and other securities-related portals, to ensure effective governance and compliance with NASDAQ's filing deadlines for annual financial statements. The Court has further confirmed that the Visionary Board of Directors, as constituted on March 25, 2025, remains the lawful board until further order. In WrestleMania 41, Heyman betrayed both CM Punk and Roman Reigns to join Rollins. In the recent episode of Monday Night Raw, Punk got into a brawl with Rollins. Following the incident, Heyman posted on his social media, confirming the new nickname. What is Paul Heyman's new nickname? Paul Heyman changed his nickname to 'Oracle'. He worked as the Wiseman for Roman Reigns. Heyman also managed other wrestlers like Lesnar, CM Punk, Big Show and others. With Roman Reigns transitioning to a more part-time role, Heyman decided to shift his allegiance. Siding with Seth Rollins, the WWE Hall of Famer changed his nickname. Heyman confirmed the same through his social media. WWE SmackDown results: LA Knight opened the June 20 episode of WWE SmackDown, which was held in LA Grand Rapids, with a fiery promo in which he called out Seth Rollins. He was soon interrupted by Paul Heyman, The Visionary's Wiseman. This set the stage for a confrontation between 'The Megastar' and Bronson Reed and Bron Breakker, who are part of Seth Rollins' faction. LA Knight fends off Bron Breakker and Bronson Reed LA Knight, who is involved in a bitter feud with Seth Rollins' faction, opened SmackDown with a promo in which he detailed his issues with the former Shield member. He then called him out to settle their differences in the ring. He was, however, interrupted by Paul Heyman. The WWE Hall of Famer asked him to leave the arena to prevent 'something bad' from happening to him. Knight responded by threatening to beat him up. Heyman then appeared to retreat but was soon joined by Breakker and Reed. The powerhouses assaulted 'The Megastar'. Knight, however, turned the tables by nailing them with a chair. This forced 'The Paul Heyman Guys to retreat'. Later, GM Nick Aldis booked a match between Reed and Knight.
