Visionary Holdings Inc. Announces Court Ruling on Board Composition and Investigation

TORONTO, July 22, 2025 /CNW/ - Visionary Holdings Inc. (NASDAQ: GV) ("Visionary" or the "Company"), an Ontario-based corporation, today announced a significant court ruling from the Ontario Superior Court of Justice (Zhou v. Chen, 2025 ONSC 3648) dated June 19, 2025, addressing the composition of its Board of Directors and related governance matters.
The Court ordered an investigation under section 161 of the Ontario Business Corporations Act to examine allegations of misconduct in the Company's affairs. The Court has restrained Fan Zhou from participating directly or indirectly in the management of Visionary pending the investigation's outcome or further court order, citing the risk of irreparable harm to the Company's reputation and potential legal actions.
Additionally, 3888 Investment Group Limited, controlled by Zhou's daughter and holding purported Class B Common Shares with 97% voting power, is restrained from taking action to remove certain directors. The Board has been granted access to all Company records, including EDGAR, NASDAQ, and other securities-related portals, to ensure effective governance and compliance with NASDAQ's filing deadlines for annual financial statements.
The Court has further confirmed that the Visionary Board of Directors, as constituted on March 25, 2025, remains the lawful board until further order.
Visionary is committed to complying with all court orders and maintaining transparency with its shareholders and stakeholders. The Company will provide further updates as the investigation progresses or as directed by the Court.

With cutting-edge CPU and GPU capabilities, the solution offers significantly improved AI performance, enhanced gaming, content generation and connectivity features. The newly launched solution has already gained solid market traction. Leading OEMs, such as HONOR and vivo, have already selected the Snapdragon 7 Gen 4 Mobile Platform for their upcoming devices. Realme is also expected to adopt the new platform. In the Quarter under review, Qualcomm was selected by e& a global technology group to strengthen digital infrastructure across the UAE. Under its Vision 2030, Saudi Arabia is heavily investing in advanced AI and 5G technologies to drive nationwide digital transformation. Qualcomm has positioned itself as a key player in that initiative. QCOM has joined forces with HUMAIN to develop AI data centers to deliver cloud-to-edge hybrid AI services. It has formed a partnership with Aramco Digital to support the development of advanced edge AI industrial IoT devices and end-to-end solutions. In the third quarter, the company acquired Autotalks to enhance its vehicle-to-everything (V2X) technology offerings for safer, smarter transportation systems. Qualcomm has also acquired MovianAI, the former generative AI division of VinAI, a prominent Vietnam-based AI company. The acquisition will give Qualcomm access to VinAI's comprehensive expertise in generative AI, machine learning, computer vision, and natural language processing. It has also inked a definitive agreement to acquire Alphawave Semi for an enterprise value of approximately $2.4 billion. With advanced technology solutions that are complementary to power-efficient CPU and NPU cores, Alphawave Semi delivers connectivity products and chiplets that drive faster, more reliable data transfer with higher performance and lower power consumption for 5G wireless, AI and data center applications. These acquisitions will significantly bolster Qualcomm's AI capabilities. Price Performance Over the past year, Qualcomm has lost 10.3% against the industry's growth of 41%, lagging peers like Broadcom Inc. but outperforming Intel Corp.. During this period, Broadcom has gained 93.8%, while Intel has declined 32.2%. Key Valuation Metric From a valuation standpoint, Qualcomm appears to be relatively cheaper compared to the industry and below its mean. Going by the price/earnings ratio, the company shares currently trade at 13.44 forward earnings, lower than 34.13 for the industry and the stock's mean of 16.97. Investment Considerations Qualcomm is aiming to be the driving force of the next wave of AI innovation. Its recent strategic acquisitions and innovation initiative are perfectly aligned with that strategy. The buyouts will provide Qualcomm's access to next-generation technology, bolster its R&D initiatives, and facilitate the development of state-of-the-art AI-driven solutions for a wide range of industries, including smartphones, PCs, software-defined vehicles and more. The company is witnessing healthy traction in the premium handset market. However, intensifying competition from low-cost chip manufacturers like MediaTek and Rockchip is impacting margins in the mid-range smartphone market. The company has been taking actions to counter these issues. It is introducing several cutting-edge AI features in its chips for mid-range smartphones, and it has been actively collaborating with major smartphone manufacturers to develop a solution tailored to their requirements. Qualcomm is also expanding its portfolio offerings to enhance resiliency in its business model. The company is expected to benefit from strong demand for its Snapdragon Digital Chassis platform in the automotive market. These factors will likely boost commercial prospects. However, despite some setbacks, Intel has remained a major player in chipset development. The company's growing prowess in the AI PC vertical can pose a challenge to Qualcomm's AI PC expansion. The company is also facing competition from Broadcom, which is a prominent supplier of RF Components to leading smartphone makers. Pre-Markets Up Again on Big News Morning

Tuesday, July 29, 2025 Pre-market futures are up at this hour on a bevy of new information this morning — from a vast array of earnings reports to key economic prints to a massive railway merger likely to pass its government board. The Dow is currently dipping a tad, +12 points, the S&P 500 is +11 points and the Nasdaq is +88 at this hour. The small-cap Russell 2000 is also up +12 points presently. Trans-Continental Railway Deal Struck In what would never have passed regulatory muster under the previous presidential administration, this morning we hear of a deal where Union Pacific UNP will be purchasing Norfolk Southern NSC for a reported price of $72 billion, or $320 per share. This would create the first-ever trans-continental railroad in the U.S. Of course, this deal would first need to pass via the Surface Transportation Board, but President Trump is likely to see this deal as favorable for the U.S. (despite monopolistic considerations), and has the power to appoint a new member to the board who would view this merger as favorable, as well. Both UNP and NSC are lower on this announcement. Trade Balance Eases on Tariff Outlook The Advanced U.S. Trade Balance in Goods for June to a healthy pullback month over month to -$86 billion. This pullback is greater than expected, although it was led by a decline in imports (-4.2%),which analysts were looking toward. We're seeing a slow-down in trade based on higher tariff expectations; as deals are made with U.S. trading partners and tariff deadlines fade, we're thankfully well off the record-low trade balance of -$162 billion in March of 2025. Q2 Earnings Roundup: Boeing, P&G, Spotify & More So many companies reporting earnings, so little time! We'll pull together a quick roundup on this busiest day of Q2 earnings season so far: Boeing BA continues to make improvements to its previously dire business situation: negative earnings in Q2 of -$1.24 per share improved over the Zacks consensus by 30 cents, or a +19.5% bottom-line surprise. On the top line, revenues of $22.75 billion outpaced estimates by +4.1%, as deliveries improved in the quarter. Shares are up another +1.4% in early trading, adding to its +33.6% gains year to date. For more on BA's earnings, click here. UnitedHealth's UNH struggles continue, on the other hand, missing on its bottom line — $4.08 per share versus $4.84 expected — by -15.7%. Revenues of $111.6 billion eked out a beat over estimates by +0.06%. Guidance has been revised somewhat lower, and the -44.2% share price year to date is now another -3.3% in the pre-market. It wasn't all bad news: Royal Caribbean RCL demonstrated strength in cruise-line business, and the company's earnings of $4.38 per share in the quarter surged past the Zacks consensus by +6.8%, even as revenues of $4.54 billion marginally missed projections. The stock's -6.7% sell-off ahead of the bell looks to be a bit of profit-taking, as RCL had been up +52.6% year to date. For more on RCL's earnings, click here. But Spotify SPOT took a big slide on both top and bottom lines this morning, even as paying subscriptions and monthly active users grew. A negative -$0.48 per share swung to a loss from the +$2.13 Zacks consensus estimate, for a negative earnings surprise of -122.5%. Revenues of $4.76 billion came in lower than expected by -3.47%.
