Rumble is considering offering 2.319 shares for each Northern Data share, both companies said.
The exchange values Northern Data at about $18.3 per share (about 15.69 euros per share), based on Reuters calculations. This is at a discount of about 32% to the German company's last close.
Rumble said its proposed offer assumes Northern Data's Peak Mining unit will be divested prior to the completion of the deal.
Tether, the majority shareholder of Northern Data, has expressed support for the transaction, according to the statements. However, the companies said there is no certainty that the discussions will eventually result in a formal offer for the German group.

India's soyoil imports are poised to surge 60% year-on-year to a record high in 2024/25, as refiners boost purchases due to cheaper prices compared with rival palm oil, shipments of which are set to hit a five-year low, six dealers told Reuters. Higher soyoil purchases by India, the world's biggest importer of vegetable oils, will support global soyoil prices , which have risen 31% so far this year, but weigh on benchmark Malaysian palm oil futures. In the 2024/25 marketing year ending in October, soyoil imports are likely to jump to 5.5 million metric tons, from 3.44 million tons a year ago, according to estimates from dealers. Palm oil imports in the year, meanwhile, are likely to fall 13.5% from a year ago to 7.8 million metric tons, the lowest since 2019/20, dealers said. Sunflower oil imports could fall 20% to 2.8 million tons, the lowest in three years, they said. Higher soyoil imports will lift India's total edible oil imports in the year by 1% to 16.1 million tons, dealers estimated. Palm oil traded at a premium for many months this year, which prompted buyers to replace it with soyoil, said B.V. Mehta, executive director of the Solvent Extractors' Association of India. "Soyoil was cheap and plenty in stock, so it ended up grabbing palm oil's market share," he said. Crude palm oil was commanding a premium of as high as $150 per ton over crude soyoil earlier this year due to tight supplies of the tropical oil in producer countries Malaysia and Indonesia. Indian consumers are price-sensitive and had relied on palm oil because it was cheap. But its price rally prompted even large industrial buyers to look for alternatives, said Aashish Acharya, vice president at Patanjali Foods Ltd, a leading importer of edible oils. While soyoil was initially being bought as a substitute for palm oil, it is now also replacing rapeseed oil, which has become more expensive due to a price rally in the past two months, said a Mumbai-based dealer with a global trade house. India buys palm oil mainly from Indonesia and Malaysia, while it typically imports soyoil and sunflower oil from Argentina, Brazil, Russia and Ukraine. This year, however, India is likely to buy more than 600,000 tons of soyoil from Nepal, a New Delhi-based dealer said. Soyoil shipments from Nepal are tax-free under the South Asian Free Trade Agreement, which is encouraging buyers from eastern India to source soyoil from the Himalayan country, he added.

Apple could be bringing in-person or real-world live translation to AirPods, making them even more useful than ever, especially for travellers. According to a report from 9to5Mac, the latest iOS 26 developer beta 6 includes a new system asset showing what appears to be a gesture for triggering translation. The image, which features text in English, Portuguese, French, and German, is linked to the Translate app and seems to be designed for the AirPods Pro 2 and the AirPods 4. The gesture itself involves pressing both AirPods stems at the same time, which could act as a quick way to start translating a conversation on the go. What it didn't mention was in-person conversations, something that would fit naturally into the AirPods experience. This could put them in competition with translation-capable wearables, such as Meta's Ray-Ban smart glasses. While Apple hasn't confirmed any details, Bloomberg's Mark Gurman had previously reported that real-world translation was being worked the moment, it's unclear which iPhones will be compatible with the feature, since the processing power will likely come from the phone rather than the AirPods themselves. It's possible the requirement could match Apple's existing Live Translation features, which are available only when Apple Intelligence is enabled on supported devices. Those currently work with select languages, including Chinese (Simplified), English (UK, US), French, German, Italian, Japanese, Korean, Portuguese (Brazil), and Spanish (Spain). Given the higher demands of live conversation, 9to5Mac speculates it could even be exclusive to the iPhone 17 series, which Apple is expected to launch next month in September. Now, the Live Translation feature for real-world conversations is a big deal, considering that Apple has a huge user base around the world. Imagine millions of AirPods users suddenly having the ability to live translate a conversation in their desired language on the go, will be a major feat. And even if Apple limits it at launch, it's the kind of feature that would make AirPods a lot more than just a pair of high-end wireless earbuds for music and other news, Apple could be planning to launch the third-gen AirPods Pro model, likely alongside the iPhone 17 series. According to an earlier report by Bloomberg's Mark Gurman, this would make it the first major AirPods Pro update since 2022, when the second-generation arrived. While there were some minor updates later, like switching to USB-C, the design has stayed the same, and that's likely to continue. However, another popular analyst, Ming-Chi Kuo, believes the earbuds could be delayed until 2026, citing production way, the AirPods Pro 3 could reportedly keep the same compact white earbuds and case, with most changes happening inside. Expected upgrades include a new Apple H3 headphone chip, a U2 chip in the MagSafe charging case, and the continuation of IPX4 water resistance. New Delhi: While the US has imposed a 50 per cent tariff on India's exports citing the latter's purchase of Russian oil, two Indian MPs have said that they are hopeful that trade talks between India and US will continue despite the tariff hike. Citing a briefing to a parliamentary panel on foreign affairs, Congress MP Shashi Tharoor, who heads the panel, said on Monday (August 11) that trade talks will continue. "Our relations with the U.S. are multi-dimensional, and should not be seen only through the prism of trade. As of now, there is no change in the existing plans for the sixth round," said Tharoor, citing the foreign secretary's briefing to the panel, reported Reuters. Earlier, junior finance minister Pankaj Chaudhary had said other parliamentarians that the new tariff would cover around 55% of India's exports to America. Chaudhary had said that is estimate factored in the initial 25% levy and the department of commerce is assessing the situation by engaging with all the stakeholders. The US government helmed by President Donald Trump recently announced that in addition to the 25% import tariff on Indian goods announced earlier, Indian exporters would also have to pay an additional 25% 'penalty' because India continues to trade with Russia and import arms and oil from there. India's Ministry of External Affairs has responded by calling this move 'extremely unfortunate', and said the US is acting against India while several other countries are also engaging with Russia in different ways, to protect their own national interest.
