SES completes acquisition of Intelsat

A new multi-orbit space company, with a network of 120 GEO and MEO satellites and access to LEO constellations, strengthens SES’s ability to better serve its customers.
SES has announced the completion of its acquisition of Intelsat, creating a strengthened global satellite operator with an expanded fleet of 120 satellites across two orbits. The newly combined company will leverage its skilled teams with deep vertical expertise to deliver integrated multi-orbit, multi-band satellite and connectivity solutions to businesses and governments around the world, creating a stronger multi-orbit operator with ~60% of revenue in high-growth segments.
With a world-class network including approximately 90 geostationary (GEO), nearly 30 medium earth orbit (MEO) satellites, strategic access to low earth orbit (LEO) satellites, and an extensive ground network, SES can now deliver connectivity solutions utilising complementary spectrum bands including C-, Ku-, Ka-, Military Ka-, X-band and Ultra High Frequency. The expanded capabilities of the combined company will enable it to deliver premium-quality services and tailored solutions to its customers. The company's assets and networks, once fully integrated, will put SES in a strong competitive position to better serve the evolving needs of its customers including governments, aviatiDon, maritime and media across the globe.

The transaction establishes a more robust financial foundation for SES, with pro forma combined revenue of €3.7bn projected to grow at a low- to mid-single digit CAGR (2024-2028E). The combined company pro forma Adjusted EBITDA of €1.8bn is expected to grow at mid-single digit CAGR including synergies (2024-2028E), with plans to generate over €1bn in Adjusted Free Cash Flow by 2027-2028 (pre IRIS2). This stronger financial profile is supported by a combined contract backlog exceeding €8bn, providing clear visibility into future revenue streams.
SES plans to maintain disciplined investment in future growth, with annual capital expenditures averaging €600–€650m from 2025-2028E, excluding the IRIS2 programme. This will enable the company to continuously strengthen its network and explore emerging growth markets including Internet of Things (IoT), direct-to-device communications, inter-satellite data relay, space situational awareness and quantum key distribution. The company’s profitable growth outlook, strong balance sheet metrics and expanded cash flows will support both continued innovation and increased shareholder returns, with the intent to raise the annual base dividend once targeted net leverage of below three times is achieved within 12-18 months after closing.
“Our focus is clear: to grow, to lead in high-potential markets, and to shape the future of our industry. This is a long-term play, and we are building with the future in mind — growing year after year, expanding our capabilities, and creating lasting value for our customers and shareholders alike,” Al-Saleh said.
By integrating the two organisations, SES expects to deliver synergies with a total net present value of €2.4bn, representing an annual run rate of approximately €370m, with 70% of these efficiencies anticipated to be executed within three years after closing. These savings will primarily come from streamlined operations, optimised capacity costs, and procurement efficiencies, along with the strategic integration of satellite fleets and ground infrastructure.
SES remains headquartered in Luxembourg and is publicly listed on the Paris and Luxembourg stock exchanges (Ticker: SESG), while maintaining a significant presence in the United States with its North American main office in McLean, Virginia.

ADNOC struck the deal to buy Covestro last October, marking its biggest ever acquisition and one of the largest foreign takeovers of an EU company by a Gulf state. The European Commission, which has been reviewing the deal under its foreign subsidies rules since May, opened an in-depth investigation on Monday, warning that subsidies granted by the United Arab Emirates could distort the EU internal market. The Commission, which acts as the EU competition enforcer, said the possible foreign subsidies include an unlimited guarantee from the UAE, as well as a committed capital increase by ADNOC into Covestro. "ADNOC may have offered an unusually high price and other favourable conditions, which may have deterred other investors from making an offer," it said in a statement. The EU investigation will also look into possible negative effects in the internal market resulting from the merged company's activities once the deal is concluded. "XRG and Covestro remain in constructive discussions with the European Commission and are cooperating to conclude the FSR review," the German company said in a statement. XRG is the international investment arm of ADNOC. The Commission set a December 2 deadline for its decision on the deal. The EU's Foreign Subsidies Regulation (FSR) focuses on unfair foreign aid for companies in a bid to rein in unfair competition from non-EU companies subsidised by their governments. UAE telecoms group e& secured EU approval to buy parts of Czech telecoms company PPF last year after agreeing to scrap an unlimited state guarantee and not to channel foreign subsidies to the activities of the merged company in the EU. SES and Luxembourg Government to develop second satellite for GovSat

Built by Thales Alenia Space on the Spacebus 4000B2 platform, the new satellite will expand connectivity services for government clients by offering broader coverage. SES and the Luxembourg Government have announced their plan for development of a second satellite for GovSat (LuxGovSat S.A.), the public-private partnership and 50/50 joint venture between SES and the Luxembourg Government that provides secure, reliable and accessible satellite communication services for governments. GovSat-2 will be positioned over the European satellite arc. It will join GovSat-1 in augmenting reliable connectivity services for government customers over the region. The satellite will be built by Thales Alenia Space on its Spacebus 4000B2 platform. Since launching in 2018, the joint venture’s first defence satellite, GovSat-1, operated by GovSat from a secure mission operations centre in Luxembourg, has supported the Luxembourg Directorate of Defence, EU and NATO nations, the U.S. Department of Defence, and other governmental users. The state-of-the-art GovSat-2 satellite will extend the coverage and scale of GovSat, and is designed to address the needs of defence users at the highest Security and Service Assurance Level. The satellite will add new ultra-high frequency (UHF) channels, X- and military Ka-band and will include other security features such as dedicated hardening, an advanced anti-jamming system and embedded geolocation. The investment in GovSat-2 is in line with SES's stated financial policy criteria, and also in line with prior combined company CAPEX guidance. The satellite will be co-funded by SES and the Luxembourg Government, subject to approval of the corresponding draft law by Parliament. Yuriko Backes, Minister of Defence of Luxembourg, said: 'The procurement of GovSat-2 underscores the success of the GovSat public-private partnership to provide Luxembourg, our allies and partners with secure military satellite communications that supplement their national systems and support a wide range of critical military, defence and civilian security applications. With GovSat-2, Luxembourg will once again demonstrate its significant impact in the field of Space.' Adel Al-Saleh, CEO of SES, added: 'With geopolitical shifts and an increased need for scalable national security and defence capabilities, we are seeing growing demand for secure, reliable geostationary (GEO) connectivity with comprehensive coverage across Europe, the Middle East and Africa as well as the Atlantic and Indian Oceans, the Mediterranean and the Baltic Seas. As governments across Europe look to bolster their sovereign satellite communications for defence and intelligence needs, GovSat-2 gives GovSat additional MILSATCOM capacity to address this strategic area of growth.'
