New Income Tax Bill corrects anomalies, allows refunds for returns filed beyond deadline

After last week's withdrawal of the earlier version of the new Income Tax Bill, the Lok Sabha on Monday passed the updated version, the Income-Tax (No.2) Bill, 2025 and the Taxation Laws (Amendment) Bill, 2025, which amends the Income-tax Act, 1961 and the Finance Act, 2025. The government accepted most of the recommendations of the Select Committee, headed by BJP leader Baijayant Panda, and corrected several anomalies in the updated 624-page Income Tax Bill including those for LLPs and anonymous donations to religious-cum-charitable trusts.
Among the significant changes made in the Taxation Laws (Amendment) Bill, 2025 that sought to amend the Finance Act, 2025 was the inclusion of the 'Public Investment Fund of the Government of the Kingdom of Saudi Arabia' and its wholly-owned subsidiaries which make investment, directly or indirectly, out of the Fund in clause (23FE) of the Income-tax Act.
Income tax exemption is given at present to several sovereign wealth funds including Saudi's Public Investment Fund, which has over $925 billion assets under management and was notified for I-T exemption in November 2022. However, the Fund had faced some restrictive norms related to investments through various subsidiaries. With this amendment, the government has granted complete income tax exemption to Saudi's Fund by specifying its name explicitly in the Act as has been done earlier for the Abu Dhabi Investment Authority (ADIA).
Introduced in Finance Act, 2020, Clause (23FE) of section 10 of the Act provides for the exemption to specified persons from the income in the nature of dividend, interest, long-term capital gains or certain other incomes arising from an investment made by it in India. The amendments for Saudi's Fund are significant as it may explore investment opportunities in India including a stake in the two new refineries being planned by state-run ONGC and BPCL.
The Taxation Laws (Amendment) Bill also extended income tax benefits under the market-linked national pension system (NPS) to the guaranteed unified pension scheme (UPS) to provide further impetus to the scheme. Lump sum payments or the accumulated UPS corpus, up to 60 per cent, from contributions made during a person's working years can be now withdrawn tax-free at the time of retirement.
Separately, in the changes made in the Income-Tax (No.2) Bill, 2025, the government tweaked drafting errors to correct anomalies like allowing individuals to claim TDS refund even if income tax return is filed after the deadline. It aligned the applicability of the Alternate Minimum Tax (AMT) for Limited Liability Partnerships (LLPs) with the existing provisions of the Income-tax Act, 1961, removing the expanded scope that would have included LLPs not claiming specific tax benefits and attracted a higher rate of 18.5 per cent as against the preferential rate of 12.5 per cent.
'One of the most crucial amendments in the updated bill is the revision of Clause 263, which addresses the eligibility for claiming income-tax refunds. The original draft included a provision—Clause 263(1)(a)(ix)—that could have been interpreted to mean that a taxpayer could only claim a refund if their tax return was filed on or before the statutory due date. This represented a significant departure from the established legal position, where refunds could be claimed even for belatedly filed returns. Recognising the potential for this to cause undue hardship and create ambiguity, the newly introduced bill has completely omitted this restrictive clause,' Amit Maheshwari, Tax Partner, AKM Global said.
The new Bill also clarified that there will be nil TCS on Liberalised Remittance Scheme (LRS) remittances for education purposes financed by any financial institutions, a provision that had gone missing in the earlier version. The Bill has also allowed taxpayers who do not have any I-T liability to obtain nil-TDS certificate along with deductions for certain inter-corporate dividends for companies opting for a concessional rate, in line with the existing provisions.
The Government seeks to replace the existing Income-Tax Act, 1961 through the new I-T Bill, 2025, which was first introduced in Parliament on February 13, 2025, to simplify the six-decade-old structure of direct taxation by streamlining provisions, removing obsolete references, and creating a crisper and simpler legal framework. The new I-T Bill, is likely to come into effect from April 1, 2026.
Certain amendments have been made to remove ambiguities related to transfer pricing provisions along with changes relating to the carry forward and set-off of losses. The reference to the beneficial owner has been omitted to align with Section 79 of the Income-tax Act, 1961 along with a clarification of applicability of 30 per cent standard deduction after deduction of municipal taxes while calculating house property income. 'Notable changes such as the inclusion of nil-TCS (tax collection at source) for specified LRS education remittances, provision for nil-TDS certificates, reinstatement of inter-corporate dividend deductions for companies availing concessional tax rates, and the removal of the beneficial owner condition in loss set-off provisions address key gaps in the earlier draft,' Sandeep Jhunjhunwala, partner, Nangia Andersen LLP, said.
The Select Committee's recommendation that exemption should be allowed to non-profit organisations (NPOs) for 5 per cent of the total donation instead of just 5 per cent of anonymous donations, as is the case in the existing Act, has been incorporated in the revised Bill. 'Like many other changes made in the revised bill, this amendment also addresses an inadvertent drafting anomaly in the original bill,' Sachin Garg, partner, Nangia & Co LLP, said.
Like the earlier draft, the new Bill introduces the concept of 'tax year', which has been defined as the 12-month period beginning April 1. It has also retained the contentious definition of 'virtual digital space' — the powers to call for information by income tax authorities during surveys, searches and seizures including e-mail servers, social media accounts, online investment, trading and banking accounts, remote or cloud servers and digital application platforms. Clause 247 allows tax officers to bypass passwords and access digital platforms like emails and social media during searches.
The provisions related to block assessment in search and seizure cases have also been streamlined, with a majority of changes made to replace the definition of 'total income' with 'total undisclosed income'. 'When the block assessment regime for search and seizure cases was introduced through the Finance Act, 2024, the law used the term 'total income' for determining the taxable base. This broad terminology created apprehension among taxpayers and professionals, as it suggested that even disclosed income — income already reported in returns or otherwise accounted for — could be brought within the ambit of the block assessment, potentially attracting harsh penalties. Recognising these concerns, the Finance Act, 2025 has revised the definition and replaced the term 'total income' with the more precise term 'total undisclosed income'.'
'This change makes it clear that the primary objective of search and seizure proceedings is to identify, tax, and penalise income that has been concealed or not reported, rather than re-assessing income that is already on record. This change was not recorded in earlier draft of income tax bill 2025,' Maheshwari said.

Minister for General Education V. Sivankutty has denied that government schools in Kerala are closing down. Not a single government school in the State was closed in the past nine years, the Minister said in a Facebook post on Tuesday. Union government statistics that showed a decline in government schools were baseless and an attempt to discredit the State, Mr. Sivankutty alleged. Union Minister of State for Education Jayant Chaudhary, in reply to an unstarred question by K. Radhakrishnan, MP, in the Lok Sabha on closure of government schools across the country, had submitted that 205 schools had closed down from 2019-20 to 2023-24 (201 from 2021-22). Referring to the numbers, Mr. Sivankutty said these were related to multi-grade learning centres (MGLCs), started as part of District Primary Education Programme (DPEP), a Centrally sponsored scheme, in the early 1990s. Once the Right to Education was passed, these could not continue as schools and were gradually phased out. Facilities, including free transport, had been arranged for the MGLC students to shift to nearby schools. As per the figures presented in the Lok Sabha, there were 5,014 government schools in 2019-20. It rose to 5,020 in 2020-21, fell to 5010 a year later, and further declined to 4,811 in 2022-23 and 4,809 in 2023-24. the data were sourced from UDISE and UDISE+ databases on school education in the country. 'Not updated data' Officials say UDISE+ data is directly updated by schools and hence not properly validated by the General Education department. Sampoorna is the State's official school management portal for everything from student strength to textbooks distribution and scholarships, but the Union government does not use this data. It had been proposed sometime ago that data on the Sampoorna portal along with other parameter details be collected and submitted to the Union government. However, that did not happen. Moreover, the data on UDISE was not up to date, unlike in the State where it is updated on the sixth working day every year. The UDISE data quoted by the Union government was not updated for even the 2024-25 academic year, they point out. The MGLC were not really considered government schools, they point out. According to the Sametham portal maintained by the Kerala Infrastructure and Technology for Education, there are 5,813 government schools in the State.

The Prohibition of Child Marriage (Karnataka Amendment) bill was also tabled. The government said the Karnataka Platform Based Gig Workers (Social Security and Welfare) Bill, 2025 is aimed to protect the rights of platform based gig workers. It also intends to place obligations on aggregator or platform in relation to social security, occupational health and safety, transparency in automated monitoring and decision-making system, to provide dispute resolution mechanisms, to establish a welfare board and create a welfare fund for platform based gig workers. The 16-member board will have Labour Minister as its ex-officio chairperson, additional chief secretary or the principal secretary of labour department as the ex-officio member. It will have four representative body of gig workers, an equal number of representative body of aggregator, two representatives from the civil society with experience in the field and a technical expert. The Prohibition of Child Marriage Amendment Bill makes 'attempt and preparation to make engagement of a child punishable by rigorous imprisonment, which may extend to two years or with fine, which may extend to Rs one lakh or with both". The Karnataka Compulsory Service by Candidates Completed Medical Courses (Amendment) Bill enables posting of MBBS graduates even in urban areas which remain surplus even after posting to rural areas, posting of post graduates to community health centres and other hospitals in rural areas and issuing conditional, No Objection certificate to pursue higher studies like PG and super specialty courses upon submitting an undertaking to fulfill the obligation of one year compulsory service. New Delhi, Aug 12 (PTI) The government on Tuesday introduced a bill in the Lok Sabha to amend the insolvency law, proposing a raft of amendments, including an out-of-court mechanism to address genuine business failures, group and cross-border insolvency frameworks. Besides, provisions have been proposed to reduce the time taken for admission of insolvency resolution applications, to expand the definition of resolution plan and decriminalisation of certain actions. Finance and Corporate Affairs Minister Nirmala Sitharaman introduced the Insolvency and Bankruptcy Code (Amendment) Bill, 2025, which was later referred to a select committee of the House, following the request of the minister. In the Statement of Objects and Reasons for the bill, the minister said the proposed changes aim to reduce delays, maximise value for all stakeholders, and improve governance of all processes under the Code. A senior government official said the amendments aim to facilitate faster admission, resolution, and liquidation processes, maximise asset value and improve governance. The much-awaited bill has proposed a "creditor-initiated insolvency resolution process", with an out-of-court initiation mechanism for genuine business failures to facilitate faster and more cost-effective insolvency resolution with minimal business disruption. "Once implemented, this will help ease the burden on judicial systems, promote ease of doing business and improve access to credit," Sitharaman said. The official said that under CIRP, select financial institutions can initiate insolvency outside court with approval from unrelated financial institutions, while the corporate debtor can continue to manage the company with oversight from a resolution professional, who would attend meetings of the Board of Directors and have veto powers. "The process includes a 30-day objection period for the corporate debtors, and the adjudicating authority can convert the CIRP into the standard CIRP if certain conditions are met, such as failure to reach a resolution within 150 days or rejection of the plan. The adjudicating authority will approve resolution plans with the same effect as under the existing CIRP framework," the official added. CIRP refers to the Corporate Insolvency Resolution Process. Besides, the government has proposed the group insolvency framework that seeks to efficiently resolve insolvencies, involving complex corporate group structures, minimising value destruction caused by fragmented proceedings and maximising value for creditors through coordinated decision-making. According to the bill, the cross-border insolvency framework seeks to lay the foundation for protecting stakeholder interests in domestic and foreign proceedings, promoting investor confidence and aligning domestic practices with international best practices. This will also pave the way for improved recognition of Indian insolvency proceedings in other jurisdictions. Against the backdrop of an average delay of over 434 days in admitting insolvency resolution applications, the government has proposed that an application by the financial creditors should be admitted if a default exists without considering any other grounds. Such a step will help reduce timelines for admitting applications related to financial debt. The government official noted that when an application is made by a financial creditor, who is a financial institution, the adjudicating authority should consider records of default from information utilities as sufficient evidence to ascertain the existence of such default. The Code mandates that insolvency resolution applications be admitted within 14 days. Another proposal is to expand the definition of resolution plans to include the sale of assets, and the right of the corporate applicant to propose the resolution professional is restricted to ensure fairer and more transparent appointments. "The proposed amendments restrict withdrawal of CIRP applications before the constitution of the committee of creditors and after the first invitation of the resolution plans, and also enable continuation of avoidance transaction proceedings post-CIRP," the official said. There are also provisions to have a timeline for approval of resolution plans after their receipt by the adjudicating authority, providing an opportunity to the committee of creditors to rectify procedural defects, among other elements. "Enhancement of recoveries from avoidance transactions, wrongful and fraudulent trading by extending the look back period and allowing creditors to also file for these transactions is included to maximise asset value," the official said. Also, the bill has proposed changes to enhance efficiency and oversight in the liquidation process by empowering the committee of creditors to supervise liquidation, including a provision for replacing the liquidator by a 66 per cent vote and extending the moratorium available under the CIRP to the liquidation process to speed up company dissolution. "They allow the adjudicating authority to restore the CIRP once, on the request of the committee of creditors, enabling potential rescue of viable companies. The committee of creditors can also recommend direct dissolution if assets are negligible, and can retain or appoint the Resolution Professional as liquidator. The amendments remove common activities between CIRP and liquidation, to reduce delays in liquidation," the official noted. According to the official, the proposed reforms aim to strengthen the insolvency ecosystem by addressing personal guarantor misuse, enhancing institutional capacity and improving regulatory governance. Other key changes include removing the interim moratorium for personal guarantors and introducing a provision to prevent transactions defrauding creditors, and an enabling provision for facilitating different processes for all stakeholders through an electronic portal is provided to enhance efficiency and transparency.
