Why was Hailey Bieber's Rhode acquired by Elf Beauty? Finance expert reveals reasons
Hailey Bieber's makeup and skincare brand, Rhode, is being sold to Elf Beauty for about $1 billion. On Wednesday, May 28, Elf said it would pay Rhode shareholders $800 million in a combination of cash and stock, along with an additional potential earnout consideration of $200 million – but it will be subject to some performance-related conditions.
Sky Canaves, eMarketer analyst, said of the recent development, according to the New York Post, 'The Rhode deal is a bold move for e.l.f. into premium beauty at a time when the prestige side of the industry has lost some of its momentum as a result of consumers buying less or trading down.'
Mahalakshmi C, a finance expert, has taken to Instagram to reveal what she believes are the reasons why Elf Beauty acquired Rhode. Her post is captioned, 'Celebrity brand acquisitions are usually structured this way: the celebrity continues to be a part of the company for a few years. We all know the celebrities and their personal brands play a huge role in growing these businesses. Ideally, the acquiring company will figure out a strategy to grow the brand independent of the celebrity over the next few years. In the meantime, the company is incentivised to keep performing well with a future payment - this is known as an earn-out. For Rhode, the acquisition was for $1bn, but $200mn will only be earned if the company hits certain targets over the next 3 years.'

Based on analysis of over 30,000 campaigns and TAM Media Research data, the study highlights the continued dominance of digital channels, which accounted for 78 per cent of total travel ad platforms like YouTube and Instagram absorbed more than 62 per cent of digital spends, with growing reliance on influencer-led content and short-form videos. Formats such as Reels and YouTube Shorts saw strong growth, with travel creators promoting 'hidden gems' and 'weekend getaways' registering the highest conversion rates.A notable trend was the regional shift in ad impact, with 35 per cent of digital impressions emerging from tier-II and tier-III cities. Brands like Goibibo, Yatra, and RedBus leveraged vernacular messaging and festival-led campaigns to expand reach. This regional demand reflects changing consumer aspirations and the spread of budget travel options Despite digital dominance, traditional media remained strategically relevant. Television retained a 12 per cent share, especially for family-oriented campaigns, while print media was used for city-specific promotions and seasonal content, holding a 3 per cent share. Out-of-home advertising (6 per cent ) targeted high-footfall areas like airports and metros, and radio (1 per cent ) was used selectively during holiday peaks were observed during summer and festive seasons, particularly April to June and October to December. Adventure, wellness, and destination weddings were key themes, with Rishikesh, Ladakh, Udaipur , and Bali seeing campaign EaseMyTrip, Thomas Cook, and other leading brands made up over a third of the total digital spend. Campaigns included AR-led planning tools, influencer-led destination features, and loyalty programme promotions. Indonesia will review nickel mining in a region known as the "world's last paradise" and could take legal action, the environment minister said, after Greenpeace videos sparked public outcry about potential damage. The eastern archipelago of Raja Ampat in Southwest Papua Province sits in the Coral Triangle and is thought to be one of the world's most pristine reef areas, with its clear blue waters making it a popular diving spot. Greenpeace Indonesia ignited social media uproar this week with several videos highlighting nickel mining projects in the area, with one amassing 13 million views on Instagram. Indonesia has the world's biggest nickel reserves and is the biggest producer of the metal used in electric vehicle batteries and stainless steel. However, environmentalists say its rush to capitalise on supply and boost processing is causing irreparable damage to land around mines and smelters. The outcry over potential damage to the area drew a reaction from the government, with the energy ministry suspending operations at a nickel mine on one of Raja Ampat's islands pending an inspection. Nickel exploitation on the islands of Gag, Kawe and Manuran has led to the destruction of more than 500 hectares of forest and vegetation, according to a Greenpeace Indonesia analysis. They are categorised as small islands that under Indonesian law should be off-limits to mining, the environmentalist group said. The government's response has raised hopes that spreading awareness was helping to protect Raja Ampat, Greenpeace Indonesia forest campaign team leader Arie Rompas told AFP on Friday. "We are happy because there are some actions that the government could take. We are pushing the right button with this campaign," he said. Arie said he hoped the public would carry on supporting Greenpeace's campaign until the government revoked all mining licences and until Raja Ampat is "truly protected".
