The transaction terms include $27.5 million in cash paid upon closing, a two-year cash earnout of $22.5 million, and a 3-year employee retention of $15 million in cash and equity.
Article content
This deal structure reflects Perion's disciplined M&A approach — securing immediate access to transformative AI technology and a blue-chip client base while tying future consideration to performance and integration milestones. The earnout incentivizes continued growth and value delivery, ensuring strong alignment with Perion's strategy. Moreover, the retention component aimed to guarantee continuity of Greenbids' highly skilled team, who will support a successful integration and accelerate the combined offering.
Article content
In addition to the strategic rationale, the transaction is expected to be accretive to Perion's adjusted EBITDA and margins from day one. While initial integration begins immediately, the contribution to both adjusted EBITDA and revenue is expected to significantly accelerate from 2026 onward, driven by incremental synergies across technology, go-to-market, and scalability. By embedding Greenbids' advanced AI algorithm into the Perion One platform and leveraging existing infrastructure, we believe that Perion can enhance efficiency, expand its addressable market, and increase customer retention. By minimizing upfront risk and maximizing long-term upside, this transaction structure positions Perion to extract strategic and financial value from day one.

Could Investing $10,000 in Markel Make You a Millionaire?

Turning a $10,000 investment into $1 million or more would mean a 100X result. But it isn't as far-fetched as it might seem, and you don't necessarily need to invest in volatile high-tech companies to make it happen. One of my favorite candidates to be a millionaire-making stock in my own portfolio is insurance company Markel (NYSE: MKL), which does things much differently than its insurance industry peers. In fact, Markel's business model often draws comparisons to an early stage Berkshire Hathaway (NYSE: BRK.A)(NYSE: BRK.B), and to say that Berkshire has been a millionaire maker would be a major understatement. Where to invest $1,000 right now? Our analyst team just revealed what they believe are the 10 best stocks to buy right now. Continue » With that in mind, here's a brief overview of Markel's business model, why the stock could be a good value today, and how it could turn $10,000 into a million-dollar investment simply by continuing to execute on its time-tested growth strategy. Markel in a nutshell If you aren't familiar with Markel, here's a quick overview of its business. There are three main components. At its core, Markel is an insurance company. It mainly operates in specialty insurance (the excess and surplus, or E&S lines, in insurance terms) and reinsurance. These are types of insurance that can be rather difficult, but that have enormous profit potential. In addition, Markel invests some of its float in the stock market, similar to Berkshire Hathaway. As of the latest information, Markel owned about $11.3 billion worth of stocks (and the largest holding happens to be Berkshire). The company's equity investments have delivered 12.8% annualized returns over the past five years. Finally, Markel Ventures is the company's division that acquires entire businesses. Unlike Berkshire, which needs to buy massive companies to move the needle, Markel has the luxury that it can invest a meaningful amount of money in early stage businesses with lots of growth potential. Just to name a few examples, Markel Ventures owns a luxury handbag maker, a houseplant company, a homebuilder, and several others. Last year, Markel Ventures generated $5.1 billion in revenue. This isn't exactly Berkshire's business model, but it's a pretty similar one. And it follows one of Warren Buffett's top rules for conglomerate building: Be willing to own minority shares of businesses (common stocks) while pursuing opportunistic ways to own entire companies as well. Over the 60-year period that Warren Buffett has run Berkshire Hathaway, this has resulted in a total return of more than 5,500,000%. To say that this is a time-tested model would be an understatement. A 'baby Berkshire' at a discount Markel recently announced a strategic review of its business due to lackluster profitability in its insurance business and generally subpar stock performance. Just to name a few things that have already been done, Markel decided to pull the plug on several unprofitable insurance lines and has already decided that improving the technology capabilities of its insurance business needs to be a priority. According to management, Markel's intrinsic value has grown at an 18% annualized rate over the past five years. But its stock price has only grown at a 9% rate. Management estimates a $2,610 per-share intrinsic value for the business, and the stock trades for about $1,935 as I'm writing this. That's a big valuation gap. Management also announced a $2 billion stock buyback program along with the review and said that this will be a near-term focus of capital deployment. So, the company believes its stock price doesn't reflect the business' value and is putting its money where its mouth is. Could Markel make you a millionaire? The short answer is yes. But it's unlikely to happen quickly. Markel is designed to be a long-term compounder that can produce returns that are superior to the overall stock market. Over long periods, the S&P 500 has produced total returns of about 10% annualized, and in the modern era (since Warren Buffett has been running the company), Berkshire Hathaway has produced 19.9% annualized returns. So, assuming that Markel successfully beats the S&P over the long term, here's how long it could take to turn a $10,000 investment into $1 million: Long-Term Annualized Total Return Years to Turn $10k Into $1 Million 12% 42 14% 36 16% 32 18% 29 20% 26 Data source: Author's own calculations. Years are rounded to the nearest whole number. Now, I don't necessarily think Markel, or any other company, will produce Berkshire-like returns over a 60-year period. But I do believe that with Markel's strategy, it's entirely possible to significantly outpace the market. In short, the most likely scenario (which would still be very impressive) would be one of the first few rows in the chart. For context, since it went public in 1986, Markel has delivered 15% annualized returns, so there is real-world evidence that the company can beat the market. Of course, this assumes that you invest $10,000 once. The best way to approach a stock like Markel or Berkshire Hathaway (or most other compounding-focused stocks for that matter) is to invest incrementally over time. But the point is that even with a single investment, a stock with steady market-beating returns can have massive wealth-building potential over time. Prediction: Nvidia Stock Is Going to Hit $200 in 2025

Nvidia (NASDAQ: NVDA) stock has soared by 870% since the start of 2023, catapulting its market capitalization to a whopping $3.5 trillion. Demand continues to exceed supply for the company's graphics processing units (GPUs) for the data center, which are the most powerful chips in the world for developing artificial intelligence (AI) models. Nvidia CEO Jensen Huang says new AI reasoning models, which spend more time thinking to produce accurate responses, require up to 1,000 times more computing capacity than traditional large language models (LLMs). As a result, he thinks data center spending will reach $1 trillion per year by 2028 as companies race to meet that demand. Where to invest $1,000 right now? Our analyst team just revealed what they believe are the 10 best stocks to buy right now. Learn More » Nvidia is gearing up for the strongest year in its history thanks to its latest GPU architectures, which offer more performance than anything else on the market right now. Nvidia stock is trading at around $142 as of this writing (June 10), but here's why I think it's on the way to $200 before year-end. Nvidia is racing to launch new chips to meet demand Nvidia's Hopper architecture was at the foundation of its H100 GPU, which was the top-selling AI data center chip in 2023 and for most of 2024. It was superseded late last year by the Blackwell architecture, with GPUs like the GB200 producing up to 40 times more performance than the H100 in specific configurations. This is ideal for inference workloads, which is the process by which AI models analyze data to produce responses for the end user. Inference demand is soaring because of the reasoning models I mentioned, which include OpenAI's GPT-o3 and o4, Anthropic's Claude 4, Meta Platforms ' Llama 4, DeepSeek's R2, and more. Previous LLMs were great at generating one-shot responses that created a fast and convenient user experience, but they sometimes produced inaccurate information. Reasoning models refine their responses in the background before delivering them to the user, which takes longer and consumes significantly more tokens (words, punctuation, and symbols) -- between 100 and 1,000 times more, according to Jensen Huang. Therefore, it's possible Blackwell's 40-fold performance leap over Hopper still isn't enough for some reasoning models, which could lead to a sluggish user experience. Nvidia recently launched Blackwell Ultra, which offers a slightly better 50-fold improvement over Hopper, but developers will have to wait until next year for the next major jump in performance. That's because Nvidia will start shipping a lineup of GPUs based on its new Rubin architecture in 2026, which could be 3.3 times faster than Blackwell Ultra -- or around 165 times faster than Hopper. This constant chase for performance is why Huang thinks annual data center spending is heading toward $1 trillion in 2028, and the company with the most powerful chips is likely to capture the most market share. Wall Street's consensus estimate (provided by Yahoo! Finance) suggests Nvidia could generate a record $200 billion in revenue during its fiscal year 2026 (which ends on Jan. 30, 2027). Based on the company's recent financial results, the data center segment will account for around 89% of that revenue, which is why AI and GPU sales are the main focus for investors right now. Nvidia stock has a pathway to $200 this year Nvidia generated $3.19 in earnings per share (EPS) over the last four quarters, which places its stock at a price-to-earnings (P/E) ratio of 46. That is comfortably below its 10-year average of 59.9, suggesting the stock might be undervalued right now. Plus, Wall Street expects Nvidia to deliver up to $4.27 in EPS during fiscal 2026, placing its stock at a forward P/E ratio of 33.4: NVDA PE Ratio data by YCharts That means Nvidia stock would have to climb by 38% over the next nine months just to maintain its current P/E ratio of 46, and it would have to soar by 79% to trade in line with its 10-year average P/E ratio of 59.9. That would place Nvidia stock somewhere between $196 and $254 in the early stages of 2026. However, the stock market is a forward-looking machine, so investors usually start pricing in future earnings ahead of time. That's why I predict Nvidia stock will surpass $200 before 2025 is over. If Jensen Huang provides a bullish update on next year's Rubin GPUs, Wall Street analysts might even raise their EPS estimates, which would be another upside catalyst for the stock. But no matter what happens in the remainder of this year, investors should stay focused on the long term, because if data center operators spend $1 trillion annually on AI infrastructure by 2028, as Huang expects, $200 might actually be a bargain for Nvidia stock when we look back on this moment in the future. Should you invest $1,000 in Nvidia right now? Opinion: It's Time to Buy UnitedHealth Group Stock After a 50% Plunge

UnitedHealth Group (NYSE: UNH) might want to change its stock ticker from "UNH" to "UGH." The latter better captures the feelings of the healthcare giant's shareholders in recent months. A string of problems has caused UnitedHealth Group's share price to plunge roughly 50% from the peak set in the fourth quarter of 2024. Some analysts have downgraded the stock, with HSBC recommending that investors reduce their holdings and slashing its price target. Where to invest $1,000 right now? Our analyst team just revealed what they believe are the 10 best stocks to buy right now. Continue » I have a different opinion, though. I think it's time to buy UnitedHealth Group stock. Here are three reasons why. 1. Most of the company's problems should be temporary I don't think investors should ignore UnitedHealth Group's issues. However, the challenges should be viewed with a long-term perspective. I suspect most of the problems the company faces should be temporary. UnitedHealth Group has already largely moved past the cyberattack that occurred in February 2024. Although it cost the healthcare company over $2 billion, that issue has already proven to be a short-lived one. Higher Medicare Advantage costs are the main culprit behind UnitedHealth Group's suspension of its 2025 full-year guidance. But the company says that it expects to return to growth in 2026. I believe this prediction because it makes sense. Insurers sometimes incur higher-than-anticipated costs and feel the pain for a while. However, once they adjust premiums, the problem goes away. UnitedHealth Group announced the sudden departure of former CEO Andrew Witty at the same time it withdrew its 2025 outlook. Any worries investors might have had surrounding this move probably dissipated quickly after they learned Stephen Hemsley was returning to run the company. Hemsley served as CEO from 2006 through 2017, a period when UnitedHealth Group stock more than tripled. 2. The two biggest threats to UnitedHealth Group are iffy I also view the two biggest threats to UnitedHealth Group as iffy. What are those threats? An alleged U.S. Department of Justice criminal investigation of the company and President Trump's stated goal to eliminate pharmacy benefits managers (PBMs). Noted that I used the word "alleged" to describe the U.S. Department of Justice probe. The Wall Street Journal reported on May 14, 2025, that "people familiar with the matter" revealed that the DOJ had launched a criminal investigation of UnitedHealth Group for possible Medicare fraud. However, the company quickly responded that it hadn't been notified of any DOJ investigation. That status hasn't changed. President Trump did announce that he wants to "cut out the middleman," a clear reference to PBMs. That's easier said than done, though, to put it mildly. Removing PBMs from the U.S. healthcare system would require a detailed, comprehensive plan that so far has not been provided. That plan would also have to pass in both the Senate and the House of Representatives. You can bet that the PBM industry, including UnitedHealth Group, would lobby fiercely against any such legislation. I think this threat, while serious, has a relatively low probability of actually materializing. 3. The price is right Finally, I think all these issues are fully baked into UnitedHealth Group's share price. The stock currently trades at a forward price-to-earnings ratio of around 13.3. That's well below the S&P 500 healthcare sector forward earnings multiple of 16.6. It's also the lowest valuation for UnitedHealth Group in more than a decade. Could the stock fall further? Maybe, but I believe that UnitedHealth Group's share price has bottomed out. You might have noticed that UnitedHealth Group's share price has traded in a relatively narrow range since the steep decline in April and May. This trading pattern seems to confirm my view. Any good news for UnitedHealth Group could provide a nice catalyst. I predict that the company will have some positive developments in the not-too-distant future, potentially including new full-year guidance that calms investors. If I'm right, buying UnitedHealth Group stock now could pay off handsomely. Should you invest $1,000 in UnitedHealth Group right now? Before you buy stock in UnitedHealth Group, consider this: The Motley Fool Stock Advisor analyst team just identified what they believe are the 10 best stocks for investors to buy now… and UnitedHealth Group wasn't one of them.
